Limited Liability Company Operating Agreement. This Limited Liability Company Operating Agreement (this “Agreement”) is made and entered into as of January 1, 2016 by the Unitarian Universalist Association (the “Manager”).

This Limited Liability Company Operating Agreement, together with all Exhibits hereto (this “Agreement”), of Archipelago Ventures Hawaii, LLC, a Delaware limited liability company (the “Company”), is entered into by and among the Company, Arcadia Biosciences, Inc., also doing business as “Arcadia Specialty Genomics,” also referred to as “ASG,” a Delaware corporation (“Arcadia” or the “Majority Member”), and Legacy Ventures Hawaii, LLC, a Nevada limited liability company (“Legacy” or the “Minority Member” and, together with the Arcadia and any other person or entity who agrees to become a member of the Company, the “Members”).
Limited Liability Company Operating Agreement. Of Sadot LLC This Limited Liability Company Operating Agreement (this “Agreement”) of Sadot LLC, a Delaware limited liability company (the “Company”), is dated as of November 16, 2022, and is entered into by Muscle Maker, Inc., a Nevada corporation, as its sole initial Member (the “Initial Member”).
Limited Liability Company Operating Agreement. The Members hereby execute this Agreement for the purpose of establishing the affairs of the Company and the conduct of its business in accordance with the provisions of the Act. The Members hereby agree that, during the term of the Company set forth in Section 1.6 hereof, the rights and obligations of the Holders with respect to the Company shall be determined in accordance with the terms and conditions of this Agreement and, except where the Act provides that such rights and obligations specified in the Act shall apply “unless otherwise provided in a limited liability company agreement” or words of similar effect and such rights and obligations are set forth in this Agreement, the Act. Notwithstanding the foregoing, Section 18-210 of the Act (entitled “Contractual Appraisal Rights”) and Section 18-305(a) of the Act (entitled “Access to and Confidentiality of Information; Records”) shall not apply to the Company or be incorporated into this Agreement.
Limited Liability Company Operating Agreement. (a) The Limited Liability Company Operating Agreement of the Merger Sub in effect as of immediately prior to the Effective Time will be the Limited Liability Company Operating Agreement of the Surviving Entity following the Effective Time; provided, however, that the Limited Liability Company Operating Agreement shall be amended to change the name of the Surviving Entity to "RITA Medical Systems, LLC".
