LIMITATION ON ISSUANCES OF GUARANTEES OF INDEBTEDNESS BY SUBSIDIARIES. (a) The Company will not permit any Restricted Subsidiary, directly or indirectly, to guarantee, assume or in any other manner become liable with respect to any Indebtedness of the Company unless such Restricted Subsidiary simultaneously executes and delivers a supplemental indenture providing for the guarantee of payment of the Securities by such Restricted Subsidiary on a basis senior to any guarantee of Subordinated Indebtedness or at least PARI PASSU with any guarantee of Pari Passu Indebtedness; PROVIDED that this paragraph (a) shall not be applicable to (i) any guarantee of any Restricted Subsidiary that existed at the time such Person became a Restricted Subsidiary or (ii) any guarantee of any Restricted Subsidiary of Senior Bank Indebtedness.

LIMITATION ON ISSUANCES OF GUARANTEES OF INDEBTEDNESS BY SUBSIDIARIES. (a) The Company will not permit any U.S. Restricted Subsidiary, 118 directly or indirectly, to Guarantee any other Indebtedness of the Company or any Subsidiary Guarantor ("U.S. SPECIFIED INDEBTEDNESS") unless such U.S. Restricted Subsidiary simultaneously executes and delivers a supplemental indenture to this Indenture providing for the Guarantee (a "U.S. SUBSIDIARY GUARANTEE") of the payment of the Notes by such U.S. Restricted Subsidiary thereby becoming a Subsidiary Guarantor, which U.S. Subsidiary Guarantee shall be subordinated to such U.S. Restricted Subsidiary's Guarantee of such U.S. Specified Indebtedness to the same extent as the Notes or the Subsidiary Guarantees, as applicable, are subordinated to such U.S. Specified Indebtedness under the Indenture; PROVIDED, HOWEVER, that a U.S. Restricted Subsidiary will not be required to provide a U.S. Subsidiary Guarantee under this Section 10.10 unless and until such time as such U.S. Restricted Subsidiary, individually or together with all other U.S. Restricted Subsidiaries that are otherwise obligated to provide a U.S. Subsidiary Guarantee under this Section 10.10, accounts for one percent or more of Consolidated Tangible Assets.

LIMITATION ON ISSUANCES OF GUARANTEES OF INDEBTEDNESS BY SUBSIDIARIES. The Company shall not permit any Subsidiary, directly or indirectly, to guarantee or pledge any assets to secure the payment of any other Indebtedness of the Company unless such Subsidiary simultaneously executes and delivers a supplemental indenture to this Indenture providing for the guarantee of the payment of the Notes by such Subsidiary, which guarantee shall be senior to or pari passu with such Subsidiary's guarantee of or pledge to secure such other Indebtedness. Notwithstanding the foregoing, any such guarantee by a Subsidiary of the Notes shall provide by its terms that it shall be automatically and unconditionally released and discharged upon any sale, exchange or transfer, to any Person not an Affiliate of the Company, of all of the Company's stock in, or all or substantially all the assets of, such Subsidiary, which sale, exchange or transfer is made in compliance with the applicable provisions of this Indenture. The form of such guarantee is attached as Exhibit E hereto.
LIMITATION ON ISSUANCES OF GUARANTEES OF INDEBTEDNESS BY SUBSIDIARIES. The Company shall not permit any Subsidiary, directly or indirectly, to Guarantee or pledge any assets to secure the payment of any other Indebtedness of the Company ("Guaranteed Debt") unless each such Subsidiary simultaneously executes and delivers a supplemental indenture to this Indenture providing for the Guarantee of the payment of the Notes by such Subsidiary, which Guarantee shall be (i) if the Notes or the Guarantee of such Subsidiary is subordinated in right of payment to the Guaranteed Debt, the Guarantee under the supplemental indenture shall be subordinated to such Subsidiary's guarantee with respect to the Guaranteed Debt substantially to the same extent as the Notes or the Guarantee are subordinated to the Guaranteed Debt under this Indenture; or (ii) if the Guaranteed Debt is by its express terms subordinated in right of payment to the Notes or the Guarantee of such Subsidiary, any such guarantee of such Subsidiary with respect to the Guaranteed Debt shall be subordinated in right of payment to such Subsidiary's Guarantee with respect to the Notes substantially to the same extent as the Guaranteed Debt is subordinated to the Notes or the Guarantee of such Subsidiary. Notwithstanding the foregoing, any such Guarantee by a Subsidiary of the Notes shall provide by its terms that it shall be automatically and unconditionally released and discharged upon any sale, exchange or transfer, to any Person not an Affiliate of the Company, of all of the Company's stock in, or all or substantially all the assets of, such Subsidiary, which sale, exchange or transfer is made in compliance

If the Guaranteed Indebtedness is (A) pari passu with the Notes, then the Guarantee of such Guaranteed Indebtedness shall be pari passu with, or subordinated to, the Subsidiary Guarantee or (B) subordinated to the Notes, then the Guarantee of such Guaranteed Indebtedness shall be subordinated to the Subsidiary Guarantee at least to the extent that the Guaranteed Indebtedness is subordinated to the Notes. Notwithstanding any other provision in this Section 4.08, the maximum amount of Indebtedness that the Company or any Restricted Subsidiary may incur pursuant to this Section 4.08 shall not be deemed to be exceeded as a result of fluctuations in the exchange rates of currencies. For purposes of determining compliance with this Section 4.08:
