Leasehold Priority. Landlord covenants and agrees that (a) Tenant’s leasehold estate in the Leased Premises shall be senior and prior to any Lien or other Encumbrance other than the Permitted Exceptions, the Leased Premises Reservations and any other Encumbrance arising by, through or under Tenant or any Affiliate or Related Party of Tenant or permitted pursuant to the terms of this Lease, and (b) except for the rights contained in the Permitted Exceptions and the Leased Premises Reservations, no third party shall have any right, title or interest in the Leased Premises adverse to Tenant’s right, title and interest to the Leased Premises under this Lease. Further, Landlord agrees that Landlord will not grant any third Person the right to use, occupy or operate the Leased Premises during the Term, except pursuant to the Permitted Exceptions and the Leased Premises Reservations. The foregoing does not extend to any Liens arising by, through or under Tenant or its agents acting in such capacity.

  • Security Interests No party to this Escrow Agreement shall grant a security interest in any monies or other property deposited with the Escrow Agent under this Escrow Agreement, or otherwise create a lien, encumbrance or other claim against such monies or borrow against the same.

  • Grant of Security Interest All Cash Collateral (other than credit support not constituting funds subject to deposit) shall be maintained in blocked, non-interest bearing deposit accounts at Bank of America. If at any time the Administrative Agent determines that Cash Collateral is subject to any right or claim of any Person other than the Administrative Agent as herein provided, or that the total amount of such Cash Collateral is less than the applicable Fronting Exposure and other obligations secured thereby, the Borrower or the relevant Defaulting Lender will, promptly upon demand by the Administrative Agent, pay or provide to the Administrative Agent additional Cash Collateral in an amount sufficient to eliminate such deficiency.
