Investments in the Trust Accounts. All or a portion of amounts in the Trust Accounts maintained with an Eligible Depository Institution pursuant to clause (i) of the first sentence of clause (a) of Section 4.6 shall be invested and reinvested at the discretion and direction of the Trustee in one or more Eligible Investments bearing interest or sold at a discount. Any investments in obligations of Xxxxxx Xxx shall be made on a basis substantially comparable to that available in an arm’s length transaction. No investment shall mature later than the Business Day immediately preceding the Distribution Date upon which the related amounts are required to be applied to distributions pursuant hereto, except that any investment in the federal funds market or on which the Eligible Depository Institution, in its commercial capacity, or Xxxxxx Mae is the obligor may mature on the related Distribution Date. No Eligible Investment may be sold while in a Trust Account except to the extent that the Trustee believes that a sale of an Eligible Investment is desirable because of the possibility of a default by the obligor thereon or because such sale will not otherwise give rise to a tax under Section 860F(a)(5) of the Code. All amounts held by Xxxxxx Xxx pursuant to clause (ii) of Section 4.6(a) may be commingled with other funds at any time held by Xxxxxx Mae and applied, subject to its obligations herein contained, in its normal business operations or otherwise. Under no circumstance shall Xxxxxx Xxx be accountable to the Trust or Lower-Tier REMIC for interest in respect of any amounts so commingled and applied. Xxxxxx Mae shall be entitled to any income or other gain, and shall bear any losses, arising from the investment of funds held in any Trust Account (while Xxxxxx Xxx is Trustee), or otherwise held by Xxxxxx Mae as Trustee, in Eligible Investments pursuant to this Section 4.7.

Any amount so withdrawn shall no longer be a part of the Lower Tier REMIC.

  • CUSTODIAL ACCOUNTS It is agreed that all accounts opened under the Uniform Gift to Minors Act (UGMA), the Uniform Transfers to Minors Act (UTMA), or similar state statutes will be properly created and that all property so transferred will be done in compliance with such applicable statutes. There will be good faith reliance upon the instructions given, representations made and actions taken by a transferor or custodian. Further, the custodian represents and warrants that the assets in the account belong to the minor and that all such assets, whether or not transferred out of the UGMA or UTMA account, will only be used for the benefit of the minor.
