The Internal Development clause defines the rights and limitations regarding a party's ability to independently develop products, services, or technologies similar to those covered by an agreement, without using the other party's confidential information. Typically, this clause clarifies that as long as the development is conducted independently and without reference to protected materials, it does not constitute a breach of contract or infringement. Its core function is to protect each party's freedom to innovate internally while preventing disputes over parallel development and ensuring that proprietary information remains safeguarded.
Internal Development. (i) If Company timely provides a Proposed Product Election Notice and affirmatively elects to develop and commercialize the Proposed Products on its own, then (a) the Proposed Product Election Notice shall include a development plan and milestones for the development and commercialization of such Proposed Product that have been approved by the Board of Directors of Company and (b) the parties shall negotiate in good faith to agree on the development plan and milestones applicable to such Proposed Product. If (A) the parties do not agree on a development plan and milestones that are acceptable to Wistar, in its reasonable judgment, or (B) the parties agree on such a development plan and milestones, but Company thereafter fails to comply in any material respect with such mutually agreed development and commercialization obligations, Wistar shall be entitled from such point onward to exclude such Proposed Product from the license hereunder to Company, or convert such license to a non-exclusive license with respect to such Proposed Product, and Wistar shall be free to grant to third parties licenses under the relevant Licensed Patents or Technical Information, on an exclusive or non-exclusive basis, as the case may be, to develop and commercialize such Proposed Product.
