Common use of Independence of the Parties Clause in Contracts

Independence of the Parties. Nothing in this Agreement shall be deemed an agency, partnership or any other corporate or fiduciary relationship between the Parties. Both Parties are independent and neither Party shall be responsible of the acts or omissions of the other Party or its personnel except as provided otherwise in this Agreement.

Independence of the Parties. Nothing contained in this Agreement should be construed to mean that either party is a partner or employee of the other, or to create a joint venture or partnership. Neither party shall have the authority to make any agreement or commitment, or incur any liability on behalf of the other, and neither party shall be deemed an agencyliable for any acts, partnership omissions, agreements, commitments, promises, or any other corporate or fiduciary relationship between representations made by the Parties. Both Parties are independent and neither Party shall be responsible of the acts or omissions of the other Party or its personnel other, except as otherwise provided otherwise in this Agreementherein.
