Indemnity for Performance Agreements Clause Samples
The Indemnity for Performance Agreements clause requires one party to compensate the other for losses, damages, or liabilities arising from breaches or failures to perform under a contract. Typically, this means if a party fails to meet its contractual obligations or causes harm through its actions or omissions, it must reimburse the other party for resulting costs, such as legal fees or third-party claims. This clause serves to allocate risk between the parties, ensuring that the party responsible for a breach or failure bears the financial consequences, thereby protecting the non-breaching party from unforeseen losses.
