Indemnification by Avalon. Avalon shall defend, indemnify and hold harmless MedImmune, and its Affiliates and their respective directors, officers, employees, shareholders, sublicensees and agents (each, a "MEDIMMUNE INDEMNIFIED PARTY") from and against any and all Third Party claims, suits or demands for liabilities, damages, losses, costs and expenses (including the reasonable fees of attorneys and other professionals) arising out of or resulting from (i) the performance of Avalon's obligations under the Research Program, or (ii) any Avalon representation or warranty set forth herein being untrue in any material respect when made, including, but not limited to, Third Party claims of infringement, or the failure of Avalon to perform any covenant hereunder, except in the case of (i) above, to the extent caused by the negligence or willful misconduct of MedImmune or any MedImmune Indemnified Party.
Indemnification by Avalon. Avalon shall defend, indemnify and ------------------------- hold harmless USA Waste and AWS and each of their subsidiaries and their respective officers, directors, employees, agents, successors and assigns (collectively, the "AWS Indemnified Persons") from and against, and shall reimburse the AWS Indemnified Persons for, each and every Loss (as defined below) relating to, resulting from, or arising out of (i) any Assumed Liability, or (ii) the breach of any covenant or agreement of Avalon pursuant to this Agreement. With respect to matters not involving Actions brought or asserted by third parties, within five days after notification from AWS Indemnified Persons supported by reasonable documentation setting forth the nature of the circumstances entitling AWS Indemnified Persons to indemnity hereunder, Avalon, at no cost or expense to AWS Indemnified Persons, shall diligently commence resolution of such matters in a manner reasonably acceptable to AWS Indemnified Persons and shall diligently and timely prosecute such resolution to completion; provided, however, that with respect to those claims that may be satisfied by payment of a liquidated sum of money, Avalon shall promptly pay the amount so claimed to the extent supported by reasonable documentation. If any Action is commenced or threatened, the provisions of Section 7.3 shall control.
Indemnification by Avalon. Avalon shall indemnify, defend and hold Merck, its Affiliates and their respective agents, employees, officers and directors (each a “Merck Indemnitee”) harmless from and against any and all claims, suits, actions, demands, liabilities, expenses and/or loss, including reasonable legal expense and attorneys’ fees (collectively, “Losses”), to which any Merck Indemnitee may become subject as a result of any claim, demand, action or other proceeding by any person or entity other than a Party or its Affiliates to the extent such Losses arise directly or indirectly out of (a) Avalon’s, its sublicensees’ or subcontractors’ performance of Avalon’s obligations under this Agreement; (b) the practice by Avalon, its Affiliates or sub-licensees of any license granted to it hereunder; (c) the manufacture, use, handling, storage, sale or other disposition of Avalon Optioned Compounds or products containing Avalon Optioned Compounds by or on behalf of Avalon, its Affiliates or sub-licensees, (d) the use by a Third Party of any Avalon Optioned Compound or product containing such Avalon Optioned Compound sold or otherwise provided by Avalon, its Affiliates or sub-licensees; or (e) a material breach by Avalon, its sublicensees’ or subcontractors’ of any covenant, representation or warranty or other agreement made by Avalon in this Agreement; except, in each case, to the extent such Losses result from the material breach by Merck, its Related Party or subcontractors of any covenant, representation, warranty or other agreement made by Merck in this Agreement or the negligence or willful misconduct of any Merck Indemnitee.

The Fund and the Manager acknowledge that Xxxxx has not furnished any information to the Fund for inclusion in the Prospectus.

  • Indemnification by Dalmore Dalmore shall indemnify and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

In no event shall the liability of a selling Holder be greater in amount than the dollar amount of the proceeds (net of all expenses paid by Holder in connection with any claim relating to this Section 5 and the amount of any damages Holder has otherwise been required to pay by reason of such untrue statement or omission) received by Holder upon the sale of the Registrable Securities included in the Registration Statement giving rise to such indemnification obligation.
