Hart-Xxxxx-Xxxxxx. Xxe provisions of the Hart-Xxxxx-Xxxxxx Xxx are not applicable to the transactions contemplated hereby and neither the Corporation nor Seller is required to make any filings or submissions to obtain any approvals thereunder in connection herewith.
Hart-Xxxxx-Xxxxxx. All applicable waiting periods under Hart-Xxxxx-Xxxxxx xxxll have expired or terminated.
Hart-Xxxxx-Xxxxxx. Xxl required Hart-Xxxxx-Xxxxxx xxxings under the HSR Act shall have been completed and all applicable time limitations under such Act shall have expired without a request for further information by the relevant federal authorities under such Act, or in the event of such a request for further information, the expiration of all applicable time limitations under the Act shall have occurred without the objection of such federal authorities.
Hart-Xxxxx-Xxxxxx. Xxl applicable waiting periods, if any, in respect of the Transactions contemplated by this Agreement under the HSR Act shall have expired or been terminated.
Hart-Xxxxx-Xxxxxx. Xxe Company and the Investor will assist and cooperate with each other regarding any filings required under the HSR Act and any other applicable laws and regulations. The Company and the Investor each agree to make any HSR Act and other filings promptly upon the other's request.
Hart-Xxxxx-Xxxxxx. Xxyer shall have received on or prior to the closing, evidence to its satisfaction that the transaction is exempt from the rules issued by the Federal Trade Commission under the Hart-Xxxxx-Xxxxxx Xxxitrust Improvements Act of 1976.
Hart-Xxxxx-Xxxxxx. Xx filing or report under the Hart-Xxxxx-Xxxxxx Xxx shall be necessary in connection with the consummation of the transactions contemplated hereby.
Hart-Xxxxx-Xxxxxx. Xll applicable waiting periods with respect to any "Notification and Report Form For Certain Mergers and Acquisitions" required to be filed by Parent, the Company or any of their "ultimate parent entities" in compliance with the H-S-R Act in connection with the transactions contemplated hereby shall have passed, or early termination of such waiting periods shall have been granted.
Hart-Xxxxx-Xxxxxx. Xxe applicable waiting period under the Hart-Xxxxx-Xxxxxx Xxxitrust Improvements Act of 1976, as amended, shall have expired or been terminated.
Hart-Xxxxx-Xxxxxx. Xeller, Buyer and the Companies shall submit to the United States Department of Justice and the United States Federal Trade Commission ("FTC") not later than 15 business days after the date of this Agreement all of the forms and information applicable to this transaction required under the HSR Act and will use commercially reasonable efforts to respond promptly to any request by them for additional information. Buyer, the Companies and Seller shall use commercially reasonable efforts (including the filing of a request for early termination) to obtain the early termination of the waiting period under the HSR Act. Seller shall reimburse Buyer for one-half of the filing fees for Buyer's HSR Act filing.
