Goverxxxx Xxx. Xxxx Xxxxxxxnt shall be governed by and construed in accordance with the internal laws of the State of Delaware.
Goverxxxx Xxx. Xxxx Xxxxdmexx xxxxx be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.
Goverxxxx Xxx. Each party agxxxx xxxx xxxx Agreement shall be governed by and construed in accordance with the laws of the State of New York without regard to the conflict of laws principles thereof.
Goverxxxx Xxx. Xxxx Agreement shall be interpreted and governed in accordance with the laws of the State of Delaware. The parties herein waive trial by jury. In the event that litigation results or arise out of this Agreement or the performance thereof, the parties agree that the prevailing party is entitled to reimbursement for the nonprevailing party of reasonable attorney's fee, costs, expenses, in addition to any other relief to which the prevailing party may be entitled.
Goverxxxx Xxx. Xxxx Xxxexxxxx xxxxx xx gxxxxxxd by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to the conflicts of law principles thereof. Each of the parties agrees that any action brought to enforce the rights or obligations of any party under this agreement shall be commenced and maintained in the United States District Court for the District of Massachusetts or the Trial Court of the Commonwealth of Massachusetts, Middlesex Superior Court. Each of the parties further agrees that process may be served upon it by overnight courier or by certified mail, return receipt requested, and consents to the exercise of jurisdiction over it and its properties with respect to any action, suit, or proceeding arising out of or in connection with this Agreement.
Goverxxxx Xxx. Xxxx Xgreement shall be governed by and construed in accordance with the laws of the State of New York.
Goverxxxx Xxx. Xxxx Agreement shall be construed in accordance with the laws of the State of New York, without regard to conflicts of law principles. To the extent that the applicable laws of the State of New York, or any of the provisions herein, conflict with the applicable provisions of the 1940 Act, the latter shall control, and nothing herein shall be construed in a manner inconsistent with the 1940 Act or any rule or order of the Securities and Exchange Commission thereunder.
Goverxxxx Xxx. Xxis Agreement shall be construed in accordance with the laws of the State of New York without giving effect to the choice of law provisions thereof, to the extent that such laws are consistent with the provisions of the Investment Company Act and the regulations thereunder. 14.
Goverxxxx Xxx. Xection 13(a) of the Agreement is hereby restated as follows:

XXXX SERIES SUPPLEMENT AND THE TRANSACTIONS DESCRIBED HEREIN SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK APPLICABLE TO CONTRACTS MADE AND PERFORMED WITHIN THE STATE OF NEW YORK, WITHOUT GIVING EFFECT TO THE CHOICE OF LAWS PROVISIONS THEREOF.
