Good Standing and Full Force and Effect Certificates. Borrower shall have delivered to Agent a good standing certificate or full force and effect certificate, as the case may be, for each Credit Party, issued on or about the Closing Date by the Secretary of State in the state or states where such Credit Party is incorporated or formed or qualified as a foreign entity.

Good Standing and Full Force and Effect Certificates. US Borrower shall have delivered to Agent a good standing certificate or full force and effect certificate (or comparable foreign documentation, if any), as the case may be, for each Credit Party and Triumph, issued within thirty days prior to the Third Restatement Closing Date by the Secretary of State (or comparable foreign authority) in the jurisdictions where such Credit Party or Triumph, as the case may be, is incorporated or formed or qualified as a foreign entity.
