General Duties of Employer and Executive. (a) Employer agrees to employ Executive and Executive agrees to accept employment by Employer and to serve Employer in an executive capacity upon the terms and conditions set forth herein. Employer hereby employs Executive as President and Chief Executive Officer of Employer as of the Effective Date, reporting to the Board of Directors of Employer (the “Board”). Executive will also serve as Chairman of the Board. Executive’s duties and responsibilities shall be those normally assumed by the President and Chief Executive Officer of a publicly-owned company similarly situated to Employer, as well as such other or additional duties, as may from time-to-time be assigned to Executive by the Board. Such other or additional duties shall be consistent with the senior executive functions set forth above.

The duties and responsibilities of Executive shall include those described for the particular position held by Executive while employed hereunder in the Bylaws of Employer or other documents of Employer, and shall also include such other or additional duties, for Employer, as may from time-to-time be assigned to Executive by the Board of Directors of Employer or any duly authorized committee thereof. The executive capacity that Executive shall hold while this Agreement is in effect shall be that position as determined by the Board of Directors, or any duly authorized committee thereof, from time to time in its sole discretion. While employed hereunder, the initial position that Executive shall hold (until such time as such position may be changed as aforesaid) shall be the position of Chief Executive Officer.

While employed hereunder, the initial position that Executive shall hold (until such time as such position may be changed as aforesaid) shall be the position of Senior Vice President of Sales.

Executive’s duties and responsibilities shall be those normally assumed by the President and Chief Executive Officer of a publicly-owned company similarly situated to Employer, as well as such other or additional duties, as may from time-to-time be assigned to Executive by the Board. Executive shall be provided with an office and the administrative support reasonably necessary to fulfill the responsibilities assumed by Executive under this Agreement.

The capacity that Executive shall hold during the term hereof shall be that position as determined by the Board of Directors of Employer or Subsidiary, or any duly authorized committee thereof, from time to time in its sole discretion. While employed hereunder, the initial position that Executive shall hold shall be Executive Vice President, Chief Financial Officer and Treasurer (until such time as such position may be changed as aforesaid).

Executive's duties and responsibilities shall be those normally assumed by the Executive Vice President and Chief Operating Officer of a publicly-owned company similarly situated to Employer, as well as such other or additional duties, as may from time-to-time be assigned to Executive by the CEO. Such other or additional duties shall be consistent with the senior executive functions set forth above.

Employer hereby employs Executive as the Vice President Finance and Administration, Secretary and Treasurer as of the Effective Date, reporting to the President and Chief Executive Officer (the "CEO").Executive shall serve as Employer's principal accounting and financial officer. Executive's duties and responsibilities shall be those normally assumed by the principal accounting and financial officer, Vice President Finance and Administration, Secretary and Treasurer of a publicly-owned company similarly situated to Employer, as well as such other or additional duties, as may from time-to-time be assigned to Executive by the CEO, which Employer anticipates will include, among other things, serving as an officer or director of Employer's domestic subsidiaries. Such other or additional duties shall be consistent with the senior executive functions set forth above.
