Executive Duties. During and after Executive’s employment with the Company, Executive shall, without additional compensation: (i) promptly disclose to the Company any Employee Development, specifically identifying any inventions, improvements or other portions of the Employee Development that are potential patentable or susceptible to protection as a trade secret; (ii) execute and deliver any and all applications, assignments, documents, and other instruments that the Company shall deem necessary to protect the right, title and interest of the Company or its designee in or to any Employee Development; (iii) reasonably cooperate and assist in providing information for making and completing regulatory and other filings in connection with any Employee Development; (iv) reasonably cooperate and assist in providing information for or participating in any action, threatened action, or considered action relating to any Employee Development; and (v) take any and all other actions as the Company may otherwise require with respect to any Employee Development.
Executive Duties. The Executive agrees that, during the term of his employment under this Agreement and in his capacity of President and Chief Executive Officer, he will devote his full business time and energy to the business, affairs and interests of the Corporation and serve it diligently, to the best of his ability and in accordance with general business standards. The Executive, however, may devote reasonable time and energy to charitable and civic activities that enhance the reputation and good standing of the Executive and the Corporation in the community. The Executive shall comply with all policies, standards and regulations of the Corporation now or hereafter promulgated. The services and duties to be performed by the Executive shall be those appropriate to his office and title as currently and from time to time hereafter specified in the Corporation’s Bylaws or otherwise specified by the Board of Directors of the Corporation.
Executive Duties. Upon the Effective Date, Executive is hereby vested with such powers and duties as are designated by the Bylaws of Employer, as amended from time to time (“Bylaws”), by the Board, by any duly authorized Committee of the Board, or by the Chief Executive Officer of Employer. Subject to the control of the Board and the Chief Executive Officer, Executive shall have the authority set forth in Employer’s job description for Executive’s position, as may be amended from time-to-time by Employer. Executive shall report to the Chief Executive Officer.
Executive Duties. Unless such notice is waived by the Company, Executive shall not terminate employment with the Company without giving 30 days’ prior notice to the Board, and during such 30-day period Executive will assist, as and to the extent reasonably requested by the Company, in training the successor to Executive’s position with the Company; provided, however, that the provisions of Section 1(h) shall control over this Section 10 in the event of a voluntary termination by Executive for Good Reason.
Executive Duties. As the Company's Chief Executive Officer, the Executive shall perform such duties as are requested by and shall report directly to the Company's Board of Directors. The Executive agrees to devote his full business time (with allowances for vacations and sick leave) and attention and best efforts to the affairs of the Company and its subsidiaries and affiliates during the Employment Term.
Executive Duties. Executive shall perform the duties of Executive’s office as required by the Company’s Chief Executive Officer and/or the Board of Directors of the Company (the “Board”).

Executive agrees that, during the term of his employment under this Agreement and in his capacity as Vice President, he will devote his full business time and energy to the business, affairs and interests of the Corporation and serve it diligently and to the best of his ability. The services and duties to be performed by Executive shall be those appropriate to his office and title as currently and from time to time hereafter specified in the Corporation's By-laws or otherwise specified by its Board of Directors.
Executive Duties. Executive’s duties and responsibilities shall generally include all rights, duties and responsibilities customarily associated with the executive position of President. During the term of this Agreement, Executive shall report directly to the Board of Directors of the Company. Any change of Executive’s position, rights, responsibilities, duties, reporting obligations, compensation, benefits or job description or any change in the control or ownership of the Company, without the express written consent of Executive, shall constitute a material breach of this Agreement and, at the discretion of Executive, may be treated as a constructive termination of the employment relationship without just cause subject to all the rights and obligation associated with the termination provisions provided in this Agreement. Executive shall have the following specific duties and obligations:
Executive Duties. A. During the term of this Agreement, the Executive shall have the duties and responsibilities attached hereto as Exhibit A, reporting directly to the Chief Executive Officer of Employer and the Board of Directors of the Employer (the “Board”). It is understood that such duties and responsibilities shall be reasonably related to the Executive’s position.
Executive Duties. In consideration of the Bank’s obligations under this Agreement, Executive agrees to carry out his duties to the best of his abilities, as may be assigned to him from time to time by the Bank. Executive further agrees to devote his full working time and energies to the business of the Bank, provided such duties shall be consistent with his position as a Executive Vice President and Chief Credit Officer of the Bank.
