Side Letter The letter from the Borrower to the Agent dated July 17, 2000 that was executed in connection with the Second Amendment shall remain in full force and effect and shall be a Loan Document.
Quality Agreement Each Party will comply with the terms of the Quality Agreement in the performance of its obligations hereunder including record retention, audits and inspections, change control, adverse events and product recall. The Parties will conduct periodic Product quality reviews in accordance with the terms of the Quality Agreement.
Transition Agreement At Closing, Buyer and Seller shall execute the applicable Transition Agreements.
Manufacturing Agreement Each of the Sellers (as applicable) shall have executed and delivered to the Buyer the Manufacturing Agreement with respect to the portion of the Business conducted at the applicable Facility.
Supply Agreement Buyer shall have executed and delivered the Supply Agreement to the Company.
One Agreement This Agreement and any related security or other agreements required by this Agreement, collectively:
Letter Agreement The Company shall have entered into the Letter Agreement on terms satisfactory to the Company.
Arrangement Agreement This Plan of Arrangement is made pursuant to the Arrangement Agreement.
Letter of Intent Quantity discounts also apply under a Letter of Intent as described in the Funds’ current prospectus.
Offer letter This Agreement supersedes the terms and conditions contained in any correspondence relating to the subject matter of this Agreement exchanged between any Finance Party and the Borrowers or their representatives prior to the date of this Agreement.
