Franchise Fund. With respect to the grant that Verizon is required to pay to the City under Section 5.8 of the Proposed Modifications, in the event that Verizon uses any portion or all of the grant as an offset against other money due to the City under the CFA (“Offset”), Verizon shall be liable under this Agreement to make a payment to the City in the amount of the Offset.
Franchise Fund. Pursuant to the terms of the Reserve Agreement attached as Exhibit 4.2 hereto (the "Reserve Agreement"), Buyer shall provide the amount of Six Million Dollars ($6,000,000), or such reduced amount as permitted under the terms of the Reserve Agreement (the "Franchise Fund"), to satisfy its obligations thereunder.
Franchise Fund. Within 30 days of the Amendment Date, the Franchisee shall pay to the City a one-time grant in the total amount of Four Million Dollars ($4,000,000) in support of the City’s Franchise related activities during the Extended Term of the Franchise.
