FINDERS; BROKERS AND ADVISORS. Except for the engagement of Xxxxxx Capital Corporation, with respect to which Seller shall have sole responsibility for the payment of all amounts owed, Seller has not employed any financial advisory, broker or finder or incurred any liability for any financial advisory, brokerage, finder's or similar fee or commission in connection with the transactions contemplated by its Agreement and Seller is not aware of any claim or basis for any claim for payment of, or any unpaid liability to any Person for any fees or commissions or like payments with respect to the negotiations leading to this Agreement or the consummation of any of the transactions contemplated by this Agreement.

Buyer has not employed any ----------------------------- financial advisor, broker or finder or incurred any liability for any financial advisory, brokerage, finder's or similar fee or commission in connection with the transactions contemplated by this Agreement and Buyer is not aware of any claim or basis for any claim for payment of, or any unpaid liability to any Person for any fees or commissions or like payments with respect to the negotiations leading to this Agreement or the consummation of any of the transactions contemplated by this Agreement, except with respect to the obligations of Seller referred to in Section 2.6.

Except for the engagement of Xxxxxxx & ----------------------------- Associates, with respect to which Sellers shall have sole responsibility for the payment of all amounts owed, neither Sellers nor the Company have employed any financial advisor, broker or finder or incurred any liability for any financial advisory, brokerage, finder's or similar fee or commission in connection with the transactions contemplated by this Agreement and Sellers have no knowledge of notice of any claim or basis for any claim for payment of, or any unpaid liability to any Person for any fees or commissions or like payments with respect to the negotiations leading to this Agreement or the consummation of any of the transactions contemplated by this Agreement.
FINDERS; BROKERS AND ADVISORS. Except for fees payable to Affiliates of certain Sellers, and except for the engagement of Wallxx Xxxital Corporation, with respect to each of which Sellers shall have sole responsibility for the payment of all amounts owed, Sellers and the Operating Entities have not employed any financial advisory, broker or finder or incurred any liability for any financial advisory, brokerage, finder's or similar fee or commission in connection with the transactions contemplated by its Agreement.
FINDERS; BROKERS AND ADVISORS. Except as set forth on Schedule 4.16, no broker, finder, advisor, capital provider, or investment banker is entitled to payment of any Expenses from Purchaser, Pubco, the Target Companies or any of their respective Affiliates in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of Purchaser. Without limiting the foregoing, Purchaser is not obligated to pay the Finder Fee to IBS in respect of the transactions contemplated by this Agreement.
