Financial Advisor and PID Administrator. The City has engaged (1) FirstSouthwest Company, a Division of Hilltop Securities Inc. as its financial advisor, (2) FSC Continuing Disclosure Services, a Division of Hilltop Securities Inc. as its dissemination agent, and (3) and Municap, Inc. as its PID Administrator, in each case in connection with its offering and issuance of the Bonds. By delivering the Limited Offering Memorandum to the Underwriter, the City shall be deemed to have reaffirmed, with respect to the Limited Offering Memorandum, the representations, warranties and covenants set forth above with respect to the Preliminary Limited Offering Memorandum.
