Common use of Facility Clause in Contracts

Facility. Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential and Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. At any time, (i) $300,000,000, minus (ii) the aggregate principal amount of the Notes then outstanding and all other notes issued and sold under this or any other agreement by Holdings, the Company or any Subsidiary and held by Prudential or any Prudential Affiliate which are then outstanding, minus (iii) the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time. NOTWITHSTANDING THE WILLINGNESS OF PRUDENTIAL TO CONSIDER PURCHASES OF SHELF NOTES, THIS AGREEMENT IS ENTERED INTO ON THE EXPRESS UNDERSTANDING THAT NEITHER PRUDENTIAL NOR ANY PRUDENTIAL AFFILIATE SHALL BE OBLIGATED TO MAKE OR ACCEPT OFFERS TO PURCHASE SHELF NOTES, OR TO QUOTE RATES, SPREADS OR OTHER TERMS WITH RESPECT TO SPECIFIC PURCHASES OF SHELF NOTES, AND THE FACILITY SHALL IN NO WAY BE CONSTRUED AS A COMMITMENT BY PRUDENTIAL OR ANY PRUDENTIAL AFFILIATE. Notwithstanding anything to the contrary appearing herein, in no event shall any Note be purchased under the Facility by a Prudential Affiliate described in clause (i) of the definition thereof if, upon giving effect to such purchase and the use of proceeds thereof, the aggregate principal amount of all Notes and any other notes of the Company then outstanding and held by all Prudential Affiliates described in such clause, would exceed $250,000,000.

Facility. Prudential is willing Upon the terms and subject to considerthe conditions set forth herein and in the other Transaction Documents prior to the Termination Date, (x) the Transferor may, at its option, sell, convey, transfer and assign to the Administrative Agent on behalf of the Active Purchasers and (y) the Administrative Agent may, on behalf of the Initial Purchasers and acting at the direction of each such Initial Purchaser (or its related Funding Agent), respectively (prior to the occurrence of an Initial Purchaser Termination Event with respect to each such Initial Purchaser), and the Administrative Agent shall, on behalf of the APA Bank Purchasers in any Purchaser Group (following the occurrence of an Initial Purchaser Termination Event with respect to the related Initial Purchaser in such Purchaser Group or in the event such related Initial Purchaser elects not to accept such sale, conveyance, transfer and assignment subject, in its sole discretion the case of the PARCO APA Banks, to Section 2.2 of the PARCO Asset Purchase Agreement and, in the case of the Fairway APA Banks, subject to all of the provisions and within limits which may be authorized for purchase by Prudential restrictions set forth herein and Prudential Affiliates in the other Transaction Documents), accept such sale, conveyance, transfer and assignment from the Transferor of, in either case, without recourse except as provided herein, undivided percentage ownership interests in the Receivables, together with the related Contract, Related Security, Collections and Proceeds with respect thereto, from time to time. Pursuant to Section 9.1 of this Agreement, the purchase of Shelf Notes pursuant to this Agreement. Notwithstanding anything to the contrary appearing herein, in no event shall any Note be purchased under the Facility by a Prudential Affiliate described in clause (i) of the definition thereof if, upon giving effect to such purchase and the use of proceeds thereof, the aggregate principal amount of all Notes and any other notes of the Company then outstanding and held by all Prudential Affiliates described in such clause, would exceed $250,000,000.

Facility. The Owner of each Receivable Interest shall, with the proceeds of such Receivable Interest, reinvest pursuant to SECTION 2.05 in additional undivided percentage interests in the Pool Receivables by making an appropriate readjustment of such Receivable Interest. Nothing in this Agreement shall be deemed to be or construed as a commitment by any Purchaser to purchase any Receivable Interest at any time.

At any time, time (i) $300,000,000200,000,000, minus (ii) the aggregate principal amount of the Series C Notes then outstanding and all other notes issued purchased and sold under pursuant to this or any other agreement by Holdings, the Company or any Subsidiary and held by Prudential or any Prudential Affiliate which are then outstandingAgreement, minus (iii) the aggregate principal amount of Shelf Notes purchased and sold pursuant to this Agreement prior to such time, minus (iv) the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, time is herein called the “Available Facility Amount” at such time; provided that the aggregate principal amount of Floating Rate Shelf Notes outstanding at any time shall not exceed $25,000,000 (the lesser of the Available Facility Amount or $25,000,000 being referred to herein as the “Floating Rate Available Facility Amount”). At any time, (i) $300,000,000all Purchased Receivables and/or Loan Receivables of Health Care Providers identified by the Seller from time to time, minus together with all Related Security, including, without limitation, all Collections and other monies due and to become due to the Seller in respect of such Purchased Receivables or Loan Receivables and any security therefor received on or after the applicable date on which the assignment of the Purchased Receivables or Loan Receivables occurs (each a "Purchase Date"), (ii) the aggregate principal amount all rights of the Notes then outstanding Seller in, to and under (but not any obligations or liabilities in respect of) each Loan Agreement and each Purchase Agreement relating to each Transferred Receivable including, without limitation, all other notes issued monies due and sold to become due to the Borrower under this or any other agreement by Holdingsin connection therewith, the Company or any Subsidiary and held by Prudential or any Prudential Affiliate which are then outstanding, minus (iii) the aggregate principal amount of Accepted Notes Seller's right, tile and interest in and to any lockbox, concentration account or other bank or similar accounts (as hereinafter definedeach a "Lock-Box Account") which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time. NOTWITHSTANDING THE WILLINGNESS OF PRUDENTIAL TO CONSIDER PURCHASES OF SHELF NOTES, THIS AGREEMENT IS ENTERED INTO ON THE EXPRESS UNDERSTANDING THAT NEITHER PRUDENTIAL NOR ANY PRUDENTIAL AFFILIATE SHALL BE OBLIGATED TO MAKE OR ACCEPT OFFERS TO PURCHASE SHELF NOTES, OR TO QUOTE RATES, SPREADS OR OTHER TERMS WITH RESPECT TO SPECIFIC PURCHASES OF SHELF NOTES, AND THE FACILITY SHALL IN NO WAY BE CONSTRUED AS A COMMITMENT BY PRUDENTIAL OR ANY PRUDENTIAL AFFILIATE. Notwithstanding anything relating to the contrary appearing hereincollection of Transferred Receivables (whether now existing or hereafter established) and all funds held therein and all income from the investment of funds therein in each case to the extent relating the Transferred Receivables, in no event shall any Note be purchased under and (iv) all proceeds of the Facility by a Prudential Affiliate foregoing property described in clause clauses (i) through (iii) above, including interest, dividends, cash, instruments and other property from time to time received, receivable or otherwise distributed in respect of or in exchange for or on account of the definition thereof if, upon giving effect to such purchase and the use sale or other disposition of proceeds thereof, the aggregate principal amount of any or all Notes and any other notes of the Company then outstanding and held by all Prudential Affiliates described in such clause, would exceed $250,000,000existing Transferred Receivables (the foregoing are referred to herein collectively as the "Transferred Assets").
