Common use of Extension of Term of Lease Clause in Contracts

Extension of Term of Lease. Landlord and Tenant acknowledge that Tenant’s lease of the Existing Premises is scheduled to expire on June 30, 2011 (the “Original Expiration Date”), pursuant to the terms of the Lease. Notwithstanding the foregoing or anything to the contrary in the Lease, Landlord and Tenant hereby agree to extend the Term for a period of three (3) years and nine (9) months, commencing July 1, 2011 and continuing through 2. BRITANNIA POINTE GRAND BUSINESS PARK [Portola Pharmaceuticals, Inc.] [First Amendment] and including March 31, 2015 (the “New Expiration Date”), unless sooner terminated as provided in the Lease, as hereby amended. Notwithstanding the Original Expiration Date, Landlord and Tenant hereby agree to revise the rent paid by Tenant with respect to the Existing Premises as of April 1, 2010, as set forth in Section 4 of this First Amendment, below. Therefore, for purposes of this First Amendment, the period of time commencing on April 1, 2010, and ending on the New Expiration Date shall be referred to herein as the “Extended Term.” The term of Tenant’s lease of the Expansion Premises (the “Expansion Term”) shall commence, as set forth in Section 2 above, on the Expansion Commencement Date and shall expire coterminously with the term of Tenant’s lease of the Existing Premises on the New Expiration Date, unless sooner terminated as provided in the Lease, as hereby amended.

Notwithstanding amended hereby, the following terms shall apply with respect to the Option: (i) the Option shall apply only with respect to the Original Premises (and not with respect to any portion of the "Expansion Premises," as that term is defined in Section 3, below, it being understood that, whether or not the term of the Lease with respect to the Original Premises is further extended in accordance with Paragraph 61 of the Office Lease, as amended by this Section 2, each "Expansion Term," as that term is defined in Section 4, below, nevertheless shall expire on June 30, 2002, unless the Lease, as amended hereby, is sooner terminated in accordance with its terms), and, accordingly, all references in Paragraph 61 of the Office Lease to the "Premises" shall be deemed to refer to the "Original Premises;" (ii) the "Option Notice," as that term is defined in Paragraph 61 of the Office Lease, must be delivered by Tenant to Landlord, if at all, not later than June 30, 2001 (i.e., the date which is nine (9) months prior to the Original Expiration Date, Landlord and Tenant hereby agree to revise the rent paid by Tenant with respect to the Existing Premises as of April 1, 2010, ); (iii) except as set forth in Section 4 the immediately preceding item (ii) of this First AmendmentSection 2, below.
