Establishment and Character of Collateral Account. The Securities Intermediary hereby acknowledges and agrees that it has established the Collateral Account in the name of the Collateral Agent, on behalf of the Creditors, which account is under the sole dominion and control of the Collateral Agent, but otherwise belonging to the Obligors. The Securities Intermediary hereby further agrees that (i) the Collateral Account is and shall be maintained by the Securities Intermediary as a "securities account" (within the meaning of Secxxxx 0-000 xx xxx Xxx Xxxx XXX), (X) xxe "securities intermediary's jurisdiction" (within the meaning of Article 8 of the New York UCC) of the Securities Intermediary is the State of Minnesota, (C) all cash and other property in the Collateral Account will be treated by the Securities Intermediary as a "financial asset" (as defined in Section 8-102(a)(9) of the New York UCC) for the purposes of Article 8 of the New York UCC, (D) the "entitlement holder" (as such term is defined in Section 8-102(a)(7) of the New York UCC) for the purposes of Article 8 of the New York UCC shall be the Collateral Agent, for the benefit of the Creditors, (E) any financial asset in registered form or payable to, or to order of, a Person, and credited to the Collateral Account shall be registered in the name of, payable to or to the order of, or specially endorsed to, the Securities Intermediary or in blank, or credited to another securities account maintained in the name of the Securities Intermediary, and in no case shall any financial assets credited to the Collateral Account be registered in the name of, payable to or to the order of, or specially endorsed to, the Obligors or any of their Affiliates except to the extent the foregoing have been specially endorsed by the Obligors or such Affiliates to the Securities Intermediary or in blank, (F) the Securities Intermediary shall not change the name or account number of the Collateral Account without the prior written consent of the Collateral Agent and at least five Business Days prior notice to any Obligor and the Collateral Agent, and shall not change the entitlement holder, and (G) the Securities Intermediary shall act as a "securities intermediary" (within the meaning of Section 8-102(a)(14) of the New York UCC) in maintaining the Collateral Account and shall credit to the Collateral Account each financial asset to be held in or credited to the Collateral Account pursuant to the Indenture.   • CONCERNING MARGIN ACCOUNTS, SENIOR SECURITY ACCOUNTS, AND COLLATERAL ACCOUNTS 1. The Custodian shall, from time to time, make such deposits to, or withdrawals from, a Senior Security Account as specified in a Certificate received by the Custodian. Such Certificate shall specify the Series for which such deposit or withdrawal is to be made and the amount of cash and/or the amount and kind of Securities specifically allocated to such Series to be deposited in, or withdrawn from, such Senior Security Account for such Series.   • The Collateral Account (a) Upon receipt by the Collateral Agent of a Notice of Actionable Default, and until such time as the Actionable Default described therein is cured or waived, the Collateral Agent shall establish and maintain at its principal office an interest-bearing account that shall be entitled the “Encore Capital Collateral Account.” All moneys received by the Collateral Agent with respect to Collateral after receipt of a Notice of Actionable Default and until such time as the Actionable Default described therein is cured or waived shall be deposited in the Collateral Account and thereafter shall be held, applied and/or disbursed by the Collateral Agent in accordance with Section 9 hereof. In addition, (i) any other payments received, directly or indirectly, by any Secured Party of or with respect to any of the Secured Obligations from the Borrower or any Guarantor after the occurrence and during the continuance of an Actionable Default (including, without limitation, any amount of any balances held by any Secured Party for the account of the Borrower or any Guarantor or any other property held or owing by it to or for the credit or for the account of the Borrower or any Guarantor which has been set off or appropriated by it and any payments received upon the termination of any Rate Management Transaction prior to its stated termination date), (ii) any payment received by any Secured Party with respect to any of the Secured Obligations in an insolvency or reorganization proceeding or otherwise with respect to the Borrower or any Guarantor or (iii) any payment from a Guarantor received by any Secured Party with respect to any Secured Obligations, shall, in each case, promptly be delivered to the Collateral Agent and thereafter shall be held, applied and/or disbursed by the Collateral Agent in accordance with Section 9 hereof, provided that the foregoing clauses (i), (ii) and (iii) shall not apply to distributions by the Collateral Agent under Section 9 hereof. The Collateral Account at all times shall be subject to the exclusive dominion and control of the Collateral Agent. Each of the Borrower and each Guarantor hereby pledges, assigns and grants to the Collateral Agent, on behalf of and for the ratable benefit of the Secured Parties, a security interest in all of its right, title and interest in and to the Collateral Account and all funds which may from time to time be on deposit therein to secure the prompt and complete payment and performance of the Secured Obligations.
