Effectiveness of Agreements. No agreement described in Section 4.4 shall be effective prior to Closing.
Effectiveness of Agreements. The subordinations and relative priority agreements set forth herein are expressly conditioned upon the non-voidability and the perfection of the security interest or lien to which another security interest or lien is subordinated and if the security interest or lien to which another security interest or lien is subordinated is not perfected or is voidable for any reason, then the subordination provided for herein shall not be effective as to the particular Collateral encumbered by the unperfected or voidable security interest or lien. Effectiveness of Agreements. Except as otherwise expressly amended or supplemented hereby, the Original Transaction Agreements shall continue in full force and effect.

The parties hereto agree that notwithstanding anything therein to the contrary, each of the Xxxxx Employment Agreement, the Sorgenti Employment Agreement, the Amended Option Agreements, the Fund Agreement and the Advance Agreement shall become effective as of the date hereof.
