Determination of Effective Date; Register. Following the due execution and delivery of this Assignment by Assignor, Assignee and, to the extent required by Section 9.9 of the Credit Agreement, the Borrowers, this Assignment (including its attachments) will be delivered to the Agent for its acceptance and recording in the Register. The effective date of this Assignment (the “Effective Date”) shall be the later of (i) the acceptance of this Assignment by the Agent and (ii) the recording of this Assignment in the Register. The Agent shall insert the Effective Date when known in the space provided therefor at the beginning of this Assignment.

The effective date of this Assignment (the “Effective Date”) shall be the later of (i) the acceptance of this Assignment by the Roll-Up Notes Agent and (ii) the recording of this Assignment in the Register. The Roll-Up Notes Agent shall insert the Effective Date when known in the space provided therefor at the beginning of this Assignment.

Following the due execution and delivery of this Assignment by Assignor, Assignee and, to the extent required by Section 11.2(b) of the Credit Agreement, the Borrower, this Assignment (including its attachments) will be delivered to the Administrative Agent for its acceptance (to the extent required in Section 11.2(b) of the Credit Agreement) and recording in the Register. The effective date of this Assignment (the “Effective Date”) shall be the later of (i) to the extent required in Section 11.2(b) of the Credit Agreement, the acceptance of this Assignment by the Administrative Agent and (ii) the recording of this Assignment in the Register. The Administrative Agent shall insert the Effective Date, when known, in the space provided therefor at the beginning of this Assignment.

Following the due execution and delivery of this Assignment by Assignor, Assignee and, to the extent required by Section 7.9 of the Letter of Credit Agreement, the Lead Applicant, this Assignment (including its attachments) will be delivered to GE Capital for its acceptance and recording in the Register. The effective date of this Assignment (the “Effective Date”) shall be the later of (i) the acceptance of this Assignment by GE Capital and (ii) the recording of this Assignment in the Register. GE Capital shall insert the Effective Date when known in the space provided therefor at the beginning of this Assignment.

Following the due execution and delivery of this Agreement by the Administrative Agent, the Borrower and the New Lender, this Agreement (including its attachments) will be delivered to the Administrative Agent for its acceptance and recording in the Register. The effective date of this Agreement (the “Effective Date”) shall be the Third Amendment Closing Date.

The effective date of this Assignment (the “Effective Date”) shall be the later of (i) the acceptance of this Assignment by Agent and (ii) the recording of this Assignment in the Register. The Issuer shall insert the Effective Date when known in the space provided therefor at the beginning of this Assignment.

The effective date of this Assignment (the “Effective Date”) shall be the later of (i) the acceptance of this Assignment by the Subordinated Notes Agent and (ii) the recording of this Assignment in the Register. The Subordinated Notes Agent shall insert the Effective Date when known in the space provided therefor at the beginning of this Assignment.
