Deed of Trust Taxes. Trustor shall, at any time any law shall be enacted imposing or authorizing the imposition of any tax upon this Deed of Trust, or upon any rights, titles, liens or security interests created hereby, or upon the obligations secured hereby or any part thereof, immediately pay all such taxes; provided that, if such law as enacted makes it unlawful for Trustor to pay such tax, Trustor shall not pay nor be obligated to pay such tax, and in the alternative, Trustor may, in the event of the enactment of such a law, and must, if it is unlawful for Trustor to pay such taxes, prepay without penalty the obligations secured hereby in full within 60 days after demand therefor by Beneficiary.

Deed of Trust Taxes. If any law is enacted or adopted after the date of this Security Agreement which deducts the principal amount of the Note from the value of the Collateral for the purpose of taxation or which changes the laws now in force for the taxation of deeds of trust, security instruments or debts secured thereby or the manner of the operation of any such taxes or which otherwise imposes a tax, either directly or indirectly, on the Note or the Security Documents, the Issuer shall pay such tax, with interest and penalties thereon, if any, provided, however, that in no instance shall the Issuer be obligated to pay any Excluded Taxes. The Issuer shall not claim or demand or be entitled to any credit or credits on account of the Note for any part of the taxes against the Collateral or any part thereof and no deduction shall otherwise be made or claimed from the taxable value of the Collateral, or any part thereof, by reason of the Security Documents or the Note. If at any time the United States of America, any State thereof or any subdivision of any such State shall require revenue or other stamps to be affixed to any of the Note or the Security Documents, or impose any other tax or charge on the same, the Issuer shall pay for the same, with interest and penalties thereon, if any.
Deed of Trust Taxes. Borrower shall pay any and all taxes, charges, filing, registration and recording fees, excises and levies imposed upon Lender by reason of its ownership of, or measured by amounts payable under, the Note, this Agreement, the Deed of Trust or any other Loan Document (other than Excluded Taxes), and shall pay all stamp taxes and other taxes required to be paid on the Note, the Deeds of Trust, this Agreement or the other Loan Documents other than Excluded Taxes. If Borrower fails to make such payment within five (5) Business Days after notice thereof from Lender, Lender may (but shall not be obligated to) pay the amount due, and Borrower shall reimburse Lender within five (5) days after demand for all such Advances. If applicable law prohibits Borrower from paying (or reimbursing Lender for) such taxes, charges, filing, registration and recording fees, excises, levies, stamp taxes or other taxes, then Lender may declare the Indebtedness then unpaid to be immediately due and payable after ninety (90) days prior written notice to Borrower. In such event, no Prepayment Fee or Breakage Fee shall be payable by Borrower so long as no other Event of Default exists.

  • REAL ESTATE TAXES, SPECIAL ASSESSMENTS AND PRORATIONS (a) Because the Entire Property (of which the Property is a part) is subject to a triple net lease (as further set forth in paragraph 11(a)(i), the parties acknowledge that there shall be no need for a real estate tax proration. However, Seller represents that to the best of its knowledge, all real estate taxes and installments of special assessments due and payable in all years prior to the year of Closing have been paid in full.   • Further Encumbrance of Trust Property (a) Immediately upon the conveyance to the Trust by the Seller of any item of the Trust Property pursuant to Section 2.1, all right, title and interest of the Seller in and to such item of Trust Property shall terminate, and all such right, title and interest shall vest in the Trust, in accordance with the Trust Agreement and Sections 3802 and 3805 of the Statutory Trust Statute (as defined in the Trust Agreement).
