Dealings with Parties. The LHC shall have complete discretion, without giving notice to or obtaining the consent of the Guarantors, the Borrower and each other person or entity who now is or after the date hereof becomes liable in any manner for any of the Guaranteed Obligations, in such manner as the LHC shall decide, and accordingly each Guarantor grants to the LHC full authority, in its sole discretion, whether before or after termination of this Guaranty, to do any and all of the following, without limiting the generality of the foregoing: extend credit, make loans and afford such financial accommodation to the Borrower or any general partner/managing member at such times, in such amounts and on such terms as the LHC may approve; vary the terms or alter, compromise, accelerate and grant extensions or renewals of time or manner of payment of any present or future Guaranteed Obligations, assign or transfer this Guaranty or any other instrument evidencing or securing the Guaranteed Obligations in whole or in part; vary, exchange, release or discharge, wholly or partially, the Borrower or any general partner/managing member or any other guarantor or obligor of the Guaranteed Obligations, and compromise or make any settlement or other arrangement with the Borrower, any general partner/managing member and/or any other guarantor, and if the Guaranteed Obligations are now or hereafter secured, exchange, substitute or release in part or in full all of the security given for the payment and performance of any of the Guaranteed Obligations.

Dealings with Parties. The Issuer shall have complete discretion, without giving notice to or obtaining the consent of the Guarantors, the Owner and each other person or entity who now is or after the date hereof becomes liable in any manner for any of the Guarantors’ obligations under this Guaranty, in such manner as the Issuer shall decide, and accordingly the Guarantors grant to the Issuer full authority, in its sole discretion, whether before or after termination of this Guaranty, to do any and all of the following, without limiting the generality of the foregoing: extend credit, make loans and afford such financial accommodation to the Owner or any general partner of the Owner or the Guarantors at such times, in such amounts and on such terms as the Issuer may approve; vary the terms or alter, compromise, accelerate and grant extensions or renewals of time or manner of payment of any present or future obligations under this Guaranty, assign or transfer this Guaranty or any other instrument evidencing or securing the obligations under this Guaranty in whole or in part; vary, exchange, release or discharge, wholly or partially, the Owner or any general partner of the Owner or the Guarantors or any other guarantor or obligor of the obligations under this Guaranty, and compromise or make any settlement or other arrangement with the Owner, any general partner of the Owner or the Guarantors and/or any other guarantor, and if the obligations under this Guaranty are now or hereafter secured, exchanged, substituted or released in part or in full of all of the security given for the payment and performance of the Guarantors’ obligations under this Guaranty. With respect to any guarantor or indemnitor, the provisions of this Section 3.8 are intended to apply to such guarantor or indemnitor in its capacity as Guarantor and nothing in this Section 3.8 is intended to constitute a waiver of any rights afforded to such Guarantor under the Loan Documents or any other document entered into in connection with the Loans.
Dealings with Parties. The Facility Agent may accept deposits from, lend money to and generally engage in any kind of banking or other business with any party to the Operative Documents. Notwithstanding any other provision hereof or of any other Operative Document, at no time shall the Facility Agent be acting or required to act as agent for Ex-Im Bank.
Dealings with Parties. Notwithstanding the assignment herein contained but otherwise subject to the terms of this Deed, the Junior Lender authorizes the Borrower to continue to deal with the other parties to the Insurances and each of them in relation thereto as if the Borrower remained solely entitled to all the rights, title, interest and benefits thereunder but, save as herein provided, not directly to receive any moneys payable under the Insurances, provided that if an Event of Default or prospective Event of Default occurs and the Junior Lender gives written notice thereof to the Borrower the foregoing authority shall immediately cease to have effect.

  • Transactions with Shareholders and Affiliates No Credit Party shall, nor shall it permit any of its Subsidiaries to, directly or indirectly, enter into or permit to exist any transaction (including the purchase, sale, lease or exchange of any property or the rendering of any service) with any holder of 5% or more of any class of Capital Stock of Euramax or any of its Subsidiaries or with any Affiliate of Euramax or of any such holder, on terms that are less favorable to Euramax or that Subsidiary, as the case may be, than those that might be obtained at the time from a Person who is not such a holder or Affiliate; provided, the foregoing restriction shall not apply to (a) any transaction between or among Credit Parties; (b) reasonable and customary fees paid to Independent Outside Directors (provided that no fees shall be paid to directors other than Independent Outside Directors), and indemnities provided on behalf of, officers or members of the board of directors (or similar governing body) of Euramax and its Subsidiaries; (c) any employment or compensation arrangement or agreement, employee benefit plan or arrangement, officer or director indemnification agreement or any similar arrangement or other compensation arrangement entered into by and among Credit Parties in the Ordinary Course of Business; (d) Reserved; (e) other Restricted Junior Payments and Investments that are permitted by the provisions of Sections 6.5 or 6.7, respectively (including, without limitation, payments permitted thereunder with respect to the $125,000,000 Unsecured Debt); (f) transactions described in Schedule 6.12; (g) the grant of stock options, restricted stock, stock appreciation rights, phantom stock awards or similar rights to employees, directors and consultants approved by the board of directors; (h) transactions and payments of fees, costs and expenses in connection with the Transactions and the Permitted Restructuring and payment of the Transaction Costs otherwise permitted hereunder; (i) transactions with Affiliates solely in their capacity as holders of Indebtedness or Capital Stock of Euramax or any of its Subsidiaries, so long as such transaction is with all holders of such class (and there are such non-Affiliate holders) and such Affiliates are treated no more favorably than all other holders of such class generally; (j) transactions with Affiliates that are customers, clients, suppliers, joint venture partners or purchasers or sellers of goods or services (including pursuant to joint venture agreements) in the Ordinary Course of Business on terms not materially less favorable as might reasonably have been obtained at such time from a Person that is not an Affiliate of Euramax, as determined in good faith by Holdings or Euramax; and (k) sales of accounts receivables, or participations therein, or any related transaction, pursuant to the terms of a Permitted Receivables Financing.
