Dealing methods and venues. Xxxxxx Xxxxx owes clients a duty of care when placing trades on their behalf. All Xxxxxx Xxxxx’x clients are categorised, via contract, as professional clients. The firm acts as an agent when placing trades on behalf of clients and does not trade on its own account. Xxxxxx Xxxxx is broker and venue agnostic and receives no third party payments or rebates from client orders. • Brokers are generally engaged in an agency execution capacity with discretion as to trading venues accessed. As such, Xxxxxx Xxxxx places significant reliance upon executing brokersorder routing methodology and venue analysis, and requires all brokers to provide best execution for clients. • When placing trades to buy and sell equities, Xxxxxx Xxxxx takes all sufficient steps to obtain the best possible result for clients taking into account price, costs, speed, likelihood of execution and settlement, size, nature or any other consideration relevant to the execution of the order when selecting brokers. • Every trade is unique and the considerations highlighted above are variable in nature however order size and execution price(s) are generally of greater importance than speed of execution when dealing with large block orders. The likelihood of execution is central to executing brokers’ venue and execution analysis feeding back into routing logic. Non-settlement is rarely an issue for listed equities and nearly all trades are settled on a delivery-versus-payment (DVP) basis. • Xxxxxx Xxxxx directly accesses one crossing network. • Trades may be executed outside a Trading Venue (as defined by the Financial Conduct Authority (FCA) rules). Xxxxxx Xxxxx has consent for such transactions from all clients. • The firm does not cross equities between client accounts.

  • Construction and Venue This Award Agreement will be construed under and governed by the laws of the State of Montana. In the event of litigation concerning the Award Agreement, venue shall be in the District Court of the Fourth Judicial District in and for the County of Missoula, State of Montana.

  • Forum Selection, Jurisdiction, and Venue The parties agree that any lawsuit filed by either party to this Agreement related to or arising out of this Agreement or Contractor’s performance of work under this Agreement must be brought in a Georgia court of competent subject matter jurisdiction located in Chatham County, Georgia, or in a Federal court of competent subject matter jurisdiction located in the Southern District of Georgia. EACH OF THE PARTIES ALSO AGREES THAT DELIVERY OF ANY PROCESS, SUMMONS, NOTICE OR DOCUMENT TO A PARTY HEREOF IN COMPLIANCE WITH SECTION 12.7 OF THIS AGREEMENT SHALL BE EFFECTIVE SERVICE OF PROCESS FOR ANY ACTION, SUIT OR PROCEEDING IN A DESIGNATED COURT WITH RESPECT TO ANY MATTERS TO WHICH THE PARTIES HAVE SUBMITTED TO JURISDICTION AS SET FORTH ABOVE. Notwithstanding anything to the contrary in the foregoing, each of the Parties hereto agrees that it will not bring or support any action, suit or Proceeding of any kind or description, whether in law or in equity, whether in contract or in tort or otherwise against any Debt Financing Source or any other Persons party to the Debt Commitment Letter in any way related to this Agreement or any of the Transactions, including any dispute arising out of the Debt Commitment Letter or the performance thereof, in any forum other than any state or federal court sitting in the Borough of Manhattan in the City and State of New York and any appellate court from any of the foregoing.

The Parties agree that either or both of them may file a copy of this paragraph with any court as written evidence of the knowing, voluntary and freely bargained for agreement between the Parties irrevocably to waive any objections to venue or to convenience of forum.

  • Exclusive Jurisdiction and Venue The parties agree that the Courts of the County of Orange, State of California shall have sole and exclusive jurisdiction and venue for the resolution of all disputes arising under the terms of this Agreement and the transactions contemplated herein.
