Crime/Employee Dishonesty a. The Subtenant’s insurance will reimburse the Subtenant for loss arising out of the Subtenant’s indemnification of the City for any dishonest or fraudulent act(s) committed by the Subtenant’s Responsible Persons, acting alone or in collusion with others, but only when and to the extent that the Subtenant is liable for such indemnification pursuant to the terms of this Agreement. The Limit of Liability shall not be less than $150,000 inclusive, for loss resulting from any one occurrence.

  • Cessation of Employment In the event Executive shall cease to be employed by the Company for any reason, then Executive's compensation and benefits shall cease on the date of such event, except as otherwise provided herein or in any applicable employee benefit plan or program.

  • Termination Due to Death, Disability or Retirement In the event the Optionee’s employment or other service with the Company and all Subsidiaries is terminated by reason of death, Disability or Retirement, this Option will remain exercisable, to the extent exercisable as of the date of such termination, for a period of one year after such termination (but in no event after the Time of Termination).

  • OUTSIDE EMPLOYMENT Employees may engage in other employment outside of their State working hours so long as the outside employment does not involve a conflict of interest with their State employment. Whenever it appears that any such outside employment might constitute a conflict of interest, the employee is expected to consult with his/her appointing authority or other appropriate agency representative prior to engaging in such outside employment. Employees of agencies where there are established procedures concerning outside employment for the purpose of insuring compliance with specific statutory restrictions on outside employment are expected to comply with such procedures.
