Assignment by City. The City and/or Board may assign their rights and obligations under this Agreement to any governmental entity the City creates without prior consent of Developer. If the City and/or Board assign their rights and obligations under this Agreement then the City and/or the Board shall provide Developer written notice of assignment within thirty (30) days of such assignment.

Assignment by City. This Lease and the interest of the City in the Leased Property may not be assigned or encumbered by the City except as permitted by Section 3.04 hereof.
Assignment by City. If City sells or otherwise transfers the Building, or if City assigns or sells its interest in this Lease, such purchaser, transferee, or assignee thereof shall be deemed to have assumed City's obligations under this Lease arising after the date of such transfer, and City shall thereupon be relieved of all liabilities under this Lease arising thereafter, but this Lease shall otherwise remain in full force and effect. Lessee shall attorn to City's successor, which assumes and agrees to perform all of City’s obligations under this Lease.

Assignment by City. City shall have the right to assign in its sole and absolute discretion all or any part of its interests in this Agreement without Owner's approval to the ICLT, a public benefit non-profit corporation. City shall provide notice to Owner of any such assignment.

Lessee shall attorn to City’s successor, provided that such successor accepts the Premises subject to the terms, conditions and covenants of this Lease, assumes and agrees to perform all of City’s obligations under this Lease and recognizes Tenant’s right to the use and possession of the Premises pursuant to the terms of this Lease as long as Tenant is not in default hereunder beyond any applicable notice and cure period.
Assignment by City. The City shall assign or transfer its rights and obligations under this Agreement to any permitted assignee of its interest in the Project Agreement concurrently with the assignment of the Project Agreement to such assignee and the Lenders’ Agent and the Senior Lenders shall cooperate with the City in completing the formalities of any transfer or assignment including by executing any additional documents as may be reasonably required by the City.
