Credit Controls. Company shall use commercially reasonable efforts to ensure that the Customer Interface shall either (a) incorporate functionality to implement the credit controls, position limits and other risk management protections specified in Exhibit A.1 (as amended from time to time) (collectively, the “Credit Controls”), or (b) be compatible with third party software designed to implement the credit controls that Customers using the Customer Interface are required to use by their Clearing Firms. CME will use commercially reasonable efforts to provide Company at least seven (7) calendar days’ prior written notice of any Credit Control changes. To the extent applicable, Company shall use commercially reasonable efforts to adhere to the regulatory certification requirements related to maintaining an audit trail, as detailed in Exhibit A.2 hereto (as amended from time to time).

Credit Controls. Bank, at its sole discretion and without prior notice, may revise any credit limits or controls associated with the Program. Bank will endeavor to provide notice to Customer of any decrease in a credit limit. Customer shall make a payment to Bank, within ten days of such notice, sufficient to reduce the Obligations to an amount equal to or less than the revised credit limit.

  • Audit Controls P. Contractor agrees to an annual system security review by the County to assure that systems processing and/or storing Medi-Cal PII are secure. This includes audits and keeping records for a period of at least three (3) years. A routine procedure for system review to catch unauthorized access to Medi-Cal PII shall be established by the Contractor.

  • Agreement Controls In the event that any term of any of the Loan Documents other than this Agreement conflicts with any express term of this Agreement, the terms and provisions of this Agreement shall control to the extent of such conflict.

  • Export Controls Both Parties will adhere to all applicable laws, regulations and rules relating to the export of technical data and will not export or re-export any technical data, any products received from the other Party or the direct product of such technical data to any proscribed country listed in such applicable laws, regulations and rules unless properly authorized.

  • Administrative Controls The Contractor must have the following controls in place:

  • Technical Security Controls 35 a. Workstation/Laptop encryption. All workstations and laptops that store PHI COUNTY 36 discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of 37 COUNTY either directly or temporarily must be encrypted using a FIPS 140-2 certified algorithm which 1 is 128bit or higher, such as AES. The encryption solution must be full disk unless approved by the 2 COUNTY.

  • Financial Controls At all times, the Charter School shall maintain appropriate governance and managerial procedures and financial controls which procedures and controls shall include, but not be limited to: (1) commonly accepted accounting practices and the capacity to implement them (2) a checking account; (3) adequate payroll procedures; (4) procedures for the creation and review of monthly and quarterly financial reports, which procedures shall specifically identify the individual who will be responsible for preparing such financial reports in the following fiscal year; (5) internal control procedures for cash receipts, cash disbursements and purchases; and (6) maintenance of asset registers and financial procedures for grants in accordance with applicable state and federal law.

  • SENSITIVE FOREIGN NATIONS CONTROLS (a) In connection with any activities in the performance of this Agreement, Xxxxxx agrees to comply with the “Sensitive Foreign Nations Controls” requirements furnished to Seller by Company, relating to those countries, which may from time to time be identified to Seller by written notice as sensitive foreign nations. Seller shall have the right to terminate its performance under this Agreement upon at least 60 days’ prior written notice to Company if Seller determines that it is unable, without substantially interfering with its policies or without adversely impacting its performance, to continue performance of the work under this Agreement as a result of such notification. If Seller elects to terminate performance, the provision of Part 1.13 shall apply.

  • Expansive Controls Where the capability exists, originating or terminating traffic reroutes may be implemented by either Party to temporarily relieve network congestion due to facility failures or abnormal calling patterns. Reroutes will not be used to circumvent normal trunk servicing. Expansive controls will only be used when mutually agreed to by the Parties.
