Covenants of Investor. The Investor agrees to use its best efforts to ensure that the rights granted hereunder are effective and that the parties hereto enjoy the benefits thereof. The Investor will not, by any voluntary action, nor will it permit its Affiliates to, avoid or seek to avoid the observance or performance of any of the terms to be performed hereunder by the Investor, but will at all times in good faith assist in the carrying out of all of the provisions of this Agreement. Without limiting the generality of the foregoing, the Investor hereby agrees and covenants that, during the period from the date of this Agreement until the Expiration Date, the Investor will not (i) grant any proxy, power-of-attorney or other authorization in or with respect to the Investor Shares inconsistent with the provisions of Section 2 or (ii) deposit any of the Investor Shares into a voting trust or enter into a voting agreement or arrangement with respect to any of the Investor Shares.

Covenants of Investor. Section 5.1 SHORT SALES AND CONFIDENTIALITY. Neither the Investor, nor any agents, representatives or affiliate of the Investor acting on its behalf or pursuant to any understanding with it, will execute any short sales, as such term is defined in Rule 200 of Regulation SHO, during the period from the date hereof to the end of the Commitment Period. For the purposes hereof, and in accordance with Regulation SHO, the sale after delivery of the Purchase Notice of such number of Shares reasonably expected to be subscribed for under the Purchase Notice shall not be deemed a short sale. Subject to Section 5.2, the parties acknowledge and agree that during the Valuation Period, the Investor may contract for, or otherwise effect, the resale of the subject purchased Purchase Notice Shares to third-parties. The Investor shall, until such time as the transactions contemplated by the Transaction Documents are publicly disclosed by the Company in accordance with the terms of the Transaction Documents, maintain the confidentiality of the existence and terms of this transaction and the information included in the Transaction Documents.
