Covenant Not to Compete and Not to Solicit. 15.1 For purposes of this Section 15, Employer and Employee conduct the following business in the following geographic areas:

(a) During the term of this Agreement, and for a period of two (2) years following the termination of your employment for any reason, you agree you will not engage in any business (whether as an owner, partner, officer, director, employee, consultant or otherwise, except as the holder of not more than 1% of the outstanding stock of a publicly-held company) that competes or plans to compete with Avid in the business of the development, manufacture, promotion, distribution or sale of digital film, video or audio editing, special effects or newsroom automation systems or products or any other business in which Avid is engaged or plans to engage at the time of your termination. Without limiting the foregoing, during such period you shall not be employed by or otherwise serve as a consultant to Accom/Abekas/Scitex Digital Video, Adobe, Autodesk/Discreet Logic/DVision, Carlton Communications/Quantel, FAST Technology, Media 100, MGI, Pinnacle Systems/Truevision, Play Systems, XXXXX, Sonic Solutions, Tektronix Video and Networking Division/Grass Valley Group, or any of the subsidiaries or affiliates of the foregoing companies.

For the purpose of assuring to the Purchaser the full benefit of the Business and goodwill of the Company, each of the Sellers severally but not jointly undertakes by way of further consideration for the obligations of the Purchaser under this Agreement and as a separate and independent agreement that each Seller:
Covenant Not to Compete and Not to Solicit. Employee agrees that during the course of his employment, he has received Confidential Information and training, designed to give him special skills and to provide UTI with a competitive advantage and which has commercial value. Employee acknowledges that UTI has a legitimate interest in protecting its Confidential Information and in taking reasonable steps to protect its goodwill, its relationships with students, employees, consultants, vendors, suppliers, manufacturers, and to protect itself against unfair competition. You hereby acknowledge ------------------------------------------ that you are expected to play a very important role in the on-going development of the Company, that you will have detailed knowledge of the Company's business and its plans for the future, that you will have fiduciary duties owing to the Company and its shareholders, and that you will receive substantial compensation and other benefits under this Agreement. Accordingly, you agree that for the period of two (2) years from the date that your employment with the Company terminates (or the term thereof expires), except in the event that the Company terminates your employment without Cause (as defined in Section 5(c) below) or you terminate your employment for Good Reason (as defined in Section 5(d) below), in which case, you agree that for a period of one (1) year from the date of termination, you shall not, directly or indirectly,

During the term of this Agreement, and for a period of two (2) years following the termination of your employment for any reason other than as set forth in Section 4(b), you agree you will not engage in any business which competes or plans to compete with Avid in the business of the development, manufacture, promotion, distribution or sale of digital film, video or audio editing systems or products. The foregoing shall include, without limitation, Data Translation, Discrete Logic, FAST Technology, Lightworks and Immix. You also agree that, for a period of two (2) years from the effective date of your termination, you will not solicit the employment, either as an employee or as an independent contractor, including through any agency or new employer or otherwise, of any person who at any time during the one year preceding such solicitation was an employee or independent contractor of Avid or any Avid affiliate.

For the purpose of assuring to the Purchaser the full benefit of the business and goodwill of the Group Companies, each Seller undertake by way of further consideration for the obligations of the Purchaser under this Agreement and as a separate and independent agreement that such Seller:

Xxxx shall not at any time during the eighteen month period following the Termination Date, directly or indirectly: (a) hire, seek to hire, solicit, encourage, induce or attempt to induce any person employed by PRIMEDIA at any time during the period of such person’s employment with PRIMEDIA to provide services to a person or entity other than PRIMEDIA or to terminate a relationship with PRIMEDIA; (b) whether in Xxxx’x own enterprise or venture or as an employee, officer, director, consultant or affiliate of any other entity, compete with PRIMEDIA in any business activity in which PRIMEDIA is engaged as of the date of this Agreement; or (c) encourage, assist, authorize or knowingly approve the taking of such actions by other persons or entities.
