Counterparts, Drafting, Amendments. This Agreement may be executed in counterparts, each of which will be deemed an original, and all of which together constitute one and the same instrument. To expedite the process of entering into this Agreement, the parties acknowledge that executed copies of the Agreement that are reproduced or transmitted via facsimile will be equivalent to original documents until such time as original, executed documents are completely executed and delivered. This Agreement supersedes any other prior or collateral agreements with respect to the subject matter hereof. Any amendments to this Agreement must (i) be in writing; (ii) refer to this Agreement; and (iii) be executed by an authorized representative of each party.
