At the Post-Closing, PRCO shall have furnished the Company with a certificate of its President, in the form of Exhibit 6.2(a) annexed hereto, certifying that attached thereto are copies of resolutions duly adopted by the board of directors of PRCO authorizing the execution, delivery and performance of the terms of this Agreement and all other necessary or proper corporate action to enable PRCO to comply with the terms of this Agreement.
