Conversion of SPAC Shares. At the Effective Time, all SPAC Shares shall cease to be outstanding and shall automatically be converted or canceled (as the case may be) and shall cease to exist. The holders of SPAC Shares outstanding immediately prior to the Effective Time shall cease to have any rights with respect to such SPAC Shares except the right to receive Applicable Per Share Merger Consideration pursuant to Section 4.1(a) or by Law.

Conversion of SPAC Shares. At the Effective Time, by virtue of the Merger and without any action on the part of the SPAC, the Company or the holders of Company Shares, each SPAC Share issued and outstanding immediately prior to the Effective Time (other than the Excluded Shares and Dissenting Shares, each as defined below) shall be canceled and automatically converted into the right to receive, without interest, the applicable portion of the Closing Payment Shares for such SPAC Shares (the “Applicable Per Share Merger Consideration”) as specified on Exhibit A hereto. For avoidance of any doubt, each Shareholder of the SPAC will cease to have any rights with respect to the SPAC Shares, except the right to receive the Applicable Per Share Merger Consideration.
