Control of the Operations. Nothing contained in this Agreement shall give Parent or U.S. Parent, directly or indirectly, rights to control or direct the Company’s operations prior to the Effective Time. Prior to the Effective Time, the Company shall exercise, consistent with the terms of this Agreement, complete control and supervision of its and the Company Subsidiaries’ operations.

Control of the Operations. Nothing contained in this Agreement shall give Parent, directly or indirectly, rights to control or direct the Company’s operations prior to the Effective Time. Prior to the Effective Time, the Company shall exercise, consistent with the terms of this Agreement, complete control and supervision of its and the Company Subsidiaries’ operations for purposes of the HSR Act or any other applicable antitrust Law prior to the expiration or termination of any applicable waiting period under the HSR Act or any other applicable antitrust Law waiting period, or prior to the receipt of any applicable approval under any antitrust or competition law.
Control of the Operations. Notwithstanding anything to the contrary set forth in this Agreement, (a) none of the Buyer or any of its Affiliates shall have, directly or indirectly, the right to control or direct the operations of the Company or any of the Company Subsidiaries prior to the Closing Date, (b) prior to the Closing Date, the Company and the Company Subsidiaries shall have the right to exercise, consistent with the terms and conditions of this Agreement, complete control and supervision over their respective operations and (c) no consent of the Buyer shall be required with respect to any matter set forth in Section 7.01 or elsewhere in this Agreement to the extent the requirement of such consent would, upon the advice of the Company’s counsel, violate any Law.
