Common use of Continuous Improvements Clause in Contracts

Continuous Improvements. Pfizer shall use reasonable commercial efforts to identify any opportunity to reduce the cost of manufacturing the Product and shall notify ▇▇▇▇▇▇▇ of such cost reduction opportunities (“Cost Reduction Program”). Any such measures to be undertaken must be first approved by the Steering Committee and will be implemented in accordance with the scope change provisions of Section 3.3(a),. Any cost savings realized from the Cost Reduction Program shall first be used to reimburse each Party’s financial contribution to such program’s development and implementation costs, thereafter, such cost savings shall be shared equally between the Parties.

Any AMAG and Pfizer agree to confer in good faith to capitalize on such measures to be undertaken must be first approved opportunities by sharing in the Steering Committee and will be implemented in accordance with the scope change provisions cost of Section 3.3(a),implementation. Any cost savings realized from the Cost Reduction Program shall first be used shared in proportion to reimburse each Partyparty’s financial contribution to such program’s development and implementation costs, thereafter, such cost savings shall be shared equally between the Parties.
