Continuous Improvements. Pfizer shall use reasonable commercial efforts to identify any opportunity to reduce the cost of manufacturing the Product and shall notify ▇▇▇▇▇▇▇ of such cost reduction opportunities (“Cost Reduction Program”). Any such measures to be undertaken must be first approved by the Steering Committee and will be implemented in accordance with the scope change provisions of Section 3.3(a),. Any cost savings realized from the Cost Reduction Program shall first be used to reimburse each Party’s financial contribution to such program’s development and implementation costs, thereafter, such cost savings shall be shared equally between the Parties.
Continuous Improvements. The Parties agree to work for continuous improvement of the Products, their applications and the reduction of cost in order to have the most favourable prices and conditions. VESTAS is relying on SUPPLIER’s expertise to maximise cost effectiveness, quality and reliability of the Products supplied. SUPPLIER will commit the resources reasonably necessary to achieve continuously year-over-year total cost improvement of the Products through improved efficiency, reengineering, new product development, standardisation, application optimisation, etc. The impact of total costs improvement efforts shall be reviewed on an annual basis and shall be fully mirrored in all future prices. SUPPLIER understands that it has been chosen [***] [***] [***] [***] [***] of the Products because of its competences regarding continuous improvements and product development. Where VESTAS has been involved in the development of new products, SUPPLIER shall as a minimum grant VESTAS a first right of refusal to exclusively buy any such new products developed and manufactured by SUPPLIER for use within the wind industry. Continuous Improvements. The Contractor shall use all reasonable endeavours to continuously and incrementally make improvements in the Licensed Service and Licensed Service Content, including in terms of quality, range, type and user experience, throughout the Term to the extent reasonably possible and practicable.
Continuous Improvements. 21.1 The Service Provider shall throughout the Term identify:
21.1.1 improvements to the Services and Service Systems to reflect the requirements of then current Good Industry Practice;
21.1.2 improvements to the Services and the Service Systems to meet the TfL Objectives;
21.1.3 improvements to the Services and Service Systems to achieve the proposed improvements set out in the Service Provider's Solution; and
21.1.4 continuous improvements to the Service Levels and Service Charges, ("Service Improvements").
21.2 The Service Provider shall implement the Service Improvements set out in the Service Provider's Solution.
21.3 The Service Provider shall quarterly in the first twelve (12) Months from the Operational Commencement Date and thereafter every six (6) Months for the remaining Term identify and advise TfL on, inter alia, new or potential Service Improvements including the quality, responsiveness, procedures, likely performance mechanisms and cost reduction.
21.4 The Service Provider shall throughout the Term introduce Service Improvements to provide continuous improvement of the Services (subject always to compliance with the relevant Requirements and the Change Control Request Procedure).
21.5 As part of identifying Service Improvements referred to in Clause 21.1, the Service Provider shall inform TfL of other technology that could be used for delivering the Services, emerging standards and evolving technology and of potential new Services which would in each case improve the operational efficiency of the Services if implemented.
Continuous Improvements. 10.1 The Contractor undertakes to use its best endeavours to adopt a policy of continuous improvement throughout the term of the Agreement in relation to the Works, pursuant to which it shall regularly review the Works to:
a. improve the quality, scope and efficiency of the Works; and
b. reduce the Price, any charges and Mitie’s costs, without adversely affecting the Works or any standards or levels applicable to the Works.
10.2 Without prejudice to its other obligations under this Clause 10, if the Contractor or any of its sub-contractors and/or suppliers develops or implements for any other customer any new technology or product feature in respect of works similar to the Works, the Contractor shall promptly offer that new technology or product feature to Mitie. The Contractor shall notify Mitie of each such development or implementation in accordance with Clause 27.6.
Continuous Improvements. The Parties will discuss in good faith value-added activity and improvement in the Manufacturing process on a continuing basis and, unless the Parties otherwise agree SGI will bear [***] of any costs associated with improvements to the Manufacturing process for the SGI Antibodies and Unum will bear [***] of any costs associated with improvements to the Manufacturing process for the ACTR T-cells.
Continuous Improvements. Customer in concert with BVL is resolved to fostering perpetual value-added activity and continuous improvement. Therefore, Customer and BVL acknowledge and agree with the importance of pursuing process, quality, and cost improvement goals.
Continuous Improvements. All parties covered by this agreement are committed to becoming actively involved in this Enterprise Bargaining Agreement.
Continuous Improvements. 13.1. The Supplier will, in consultation with the Company, continuously examine the costs of the Raw Materials, the Delivery costs in respect of the Products, and the costs of its manufacturing processes and procedures in order to achieve continuous improvements, cost savings and efficiencies in:
13.1.1. the Specifications;
13.1.2. its manufacturing processes and procedures;
13.1.3. its technology, operations and management of the manufacturing and Delivery processes in respect of the Products; and
13.1.4. the Raw Materials.
13.2. The Supplier agrees to proactively and continuously propose any cost saving opportunities that may be available to the Company.
Continuous Improvements. The Supplier must:
(a) perform the Activities efficiently and in accordance with Best Industry Practice;
(b) work cooperatively with the Organisation to identify, detail and implement Continuous Improvements;
(c) communicate in writing to the Organisation any potential Continuous Improvements as they are identified, including at the meetings held and in the reports provided under this Agreement;
(d) detail to the Organisation the net impact of implementing the Continuous Improvements (having regard to any positive and negative impacts of implementing the Continuous Improvements), including potential impact on the costs, quality, warranties, and performance of the Activities;
(e) implement any Continuous Improvements agreed by the Organisation and in the manner approved by the Organisation; and
