Continuing Litigation. If within thirty (30) days prior to the termination of the Initial Term or Renewal Term, as the case may be, the Litigation has not been resolved in accordance with Section 1(b), Licensee shall have the sole option to renew this Agreement upon the terms and conditions as set forth herein; provided, however, with respect to Licensee's obligations pursuant to Section 5 of this Agreement, Licensee shall be obligated to pay to Licensors only the payments described in Section 5(a)(v) and Section 5(e), and the amount of such payments may be adjusted as mutually agreed by the parties.

  • Cooperation in Litigation Each party hereto will reasonably cooperate with the other in the defense or prosecution of any litigation or proceeding already instituted or which may be instituted hereafter against or by such party relating to or arising out of the use of the Purchased Assets prior to the Effective Date (other than litigation arising out of the transactions contemplated by this Agreement).   • Costs of Litigation The parties agree that the prevailing party in any action brought with respect to or to enforce any right or remedy under this Agreement shall be entitled to recover from the other party or parties all reasonable costs and expenses of any nature whatsoever incurred by the prevailing party in connection with such action, including without limitation reasonable attorneys' fees and prejudgment interest.

Any litigation shall be filed in a United States District Court in the proper district.
