Confidential Information Agreements. Each current and former employee, consultant and officer of the Company has executed an agreement with the Company regarding confidentiality and proprietary information (the “Confidential Information Agreements”). No current or former employee, consultant and officer of the Company has excluded works or inventions from his or her assignment of inventions pursuant to such person’s Confidential Information Agreement. The Company is not aware that any current or former employee, consultant and officer of the Company is in violation of any Confidential Information Agreement.
Confidential Information Agreements. Each current and former employee, consultant and officer of the Buyer has executed an agreement with the Buyer regarding confidentiality and proprietary information (the “Confidential Information Agreements”). No current or former employee, consultant and officer of the Buyer has excluded works or inventions from his or her assignment of inventions pursuant to such person’s Confidential Information Agreement. The Buyer is not aware that any current or former employee, consultant and officer of the Buyer is in violation of any Confidential Information Agreement.
Confidential Information Agreements. Each Key Employee (including the Founders) shall have entered into a Confidential Information Agreement in a form acceptable to such Investor that shall include provisions relating to the assignment of inventions, non-solicitation and non-competition, and the Company shall provide evidence of such agreements to the counsel(s) of such Investor.
Confidential Information Agreements. By the seventh day anniversary of the Initial Closing, the Company and each of its employees, officers, and consultants will have entered into the form of Confidential Information Agreement approved by counsel to the Purchasers to its reasonable satisfaction.
Confidential Information Agreements. A covenant not to assert any Intellectual Property Right against the Company will be deemed to be an Inbound License Agreement.
Confidential Information Agreements. None of the Members shall have repudiated or rejected the Confidential Information Agreement executed by such Member on the date hereof.

Each current and former employee, consultant and officer of EPOD has executed an agreement with EPOD regarding confidentiality and proprietary information substantially in the form or forms delivered to the counsel for the Purchasers (the “Confidential Information Agreements”). No current or former key employee has excluded works or inventions from his or her assignment of inventions pursuant to such key employee’s Confidential Information Agreement. EPOD is not aware that any of its key employees is in violation thereof.
Confidential Information Agreements. Each consultant to the Company has executed and delivered to the Company an agreement providing for the assignment of inventions and protection of Company confidential information in substance materially equivalent to the Confidential Information Agreements. No current Key Employee, officer or consultant of the Company has excluded works or inventions from his or her assignment of inventions pursuant to such agreements. The Company is not aware that any of its Key Employees, officers or consultants is in violation thereof.
