Common use of Confidential Information Agreements Clause in Contracts

Confidential Information Agreements. Each employee, consultant and officer of the Buyer has executed an agreement with the Buyer regarding nondisclosure and development substantially in the Buyer’s standard form (each a “Confidential Information Agreement”). To the Knowledge of the Buyer, none of its employees is in violation of his or her Confidential Information Agreement. No employee of the Buyer has excluded works or inventions from his or her assignment of inventions pursuant to such employee’s Confidential Information Agreement. The Buyer is not aware that any of its employees is in violation thereof.

Each current and former employee, consultant and officer of the Buyer has executed an agreement with the Buyer regarding nondisclosure confidentiality and development substantially in proprietary information (the Buyer’s standard form (each a “Confidential Information AgreementAgreements”). To the Knowledge of the BuyerNo current or former employee, none of its employees is in violation of his or her Confidential Information Agreement. No employee consultant and officer of the Buyer has excluded works or inventions from his or her assignment of inventions pursuant to such employeeperson’s Confidential Information Agreement. The Buyer is not aware that any current or former employee, consultant and officer of its employees the Buyer is in violation thereofof any Confidential Information Agreement.
