Conference Center Facility - Incentive Management Fee. In addition to the Conference Center Base Management Fee and the Conference Center Subordinated Base Management Fee, and in consideration of the services to be performed during the term of this Agreement with respect to the Conference Center Facility, Management Company shall be paid for each Fiscal Year (or partial Fiscal Year), subject to Section 6.04 B, an incentive fee ("Conference Center Incentive Fee") equal to the sum of: (i) twenty-five (25%) percent of the initial $100,000.00 of Operating Profit, prorated for any partial Fiscal Year, of the Conference Center Facility for such Fiscal Year (or partial Fiscal Year); plus (ii) thirty (30%) of Operating Profit of the Conference Center Facility for such Fiscal Year (or partial Fiscal Year) between $100,000.00 and $350,000.00, prorated for any partial Fiscal Year; plus, (iii) thirty-five (35%) of Operating Profit of the Conference Center Facility for such Fiscal Year (or partial Fiscal Year) which exceeds $350,000.00, prorated for any partial Fiscal Year. Notwithstanding the foregoing to the contrary, Management Company shall not be entitled to receive any portion of the Conference Center Incentive Fee in any Fiscal Year with respect to which Operating Profit of the Conference Center Facility has not equaled or exceeded the threshold amounts set forth in this subsection B. (For example purposes only, if Operating Profit of the Conference Center Facility for a given Fiscal Year is $400,000.00, Management Company would receive a Conference Center Incentive Fee equal to 25% of the first $100,000.00 plus 30% of the next $250,000.00 plus 35% of the last $50,000.00.) Commencing on the first day of the sixth (6th) full Fiscal Year after the Management Commencement Date, the respective dollar threshold amounts set forth in this subsection B shall each be adjusted annually (and for each subsequent Fiscal Year) by the Consumer Price Index and any such adjustment(s) shall be stated in the Annual Operating Projection for the related Fiscal Year.

  • Earned Value Management System ‌ An earned value management system (EVMS) means a project management tool that effectively integrates the project scope of work with cost, schedule and performance elements for optimum project planning and control. The qualities and operating characteristics of EVMS are described in American National Standards Institute /Electronics Industries Alliance (ANSI/EIA) Standard-748. An EVMS is not mandatory; however, Contractors are encouraged to have an EVMS ANSI/EIA Standard-748 during the entire term of OASIS. The Contractor shall notify the OASIS CO, in writing, if there are any changes in the status of their EVMS and provide the reasons for the change and copies of audits by the Defense Contract Management Agency (DCMA) or other cognizant Government administration office, as applicable. If only part of a Contractor’s organization is EVMS ANSI/EIA Standard-748 certified, the Contractor shall make the distinction between which business units or sites and geographic locations have been certified.

  • Configuration Management The Contractor shall maintain a configuration management program, which shall provide for the administrative and functional systems necessary for configuration identification, control, status accounting and reporting, to ensure configuration identity with the UCEU and associated cables produced by the Contractor. The Contractor shall maintain a Contractor approved Configuration Management Plan that complies with ANSI/EIA-649 2011. Notwithstanding ANSI/EIA-649 2011, the Contractor’s configuration management program shall comply with the VLS Configuration Management Plans, TL130-AD-PLN-010-VLS, and shall comply with the following:

  • STATEWIDE ACHIEVEMENT TESTING When CONTRACTOR is an NPS, per implementation of Senate Bill 484, CONTRACTOR shall administer all Statewide assessments within the California Assessment of Student Performance and Progress (“CAASP”), Desired Results Developmental Profile (“DRDP”), California Alternative Assessment (“CAA”), achievement and abilities tests (using LEA-authorized assessment instruments), the Fitness Gram with the exception of the English Language Proficiency Assessments for California (“ELPAC”) to be completed by the LEA, and as appropriate to the student, and mandated by XXX xxxxxxxx to LEA and state and federal guidelines. CONTRACTOR is subject to the alternative accountability system developed pursuant to Education Code section 52052, in the same manner as public schools. Each LEA student placed with CONTRACTOR by the LEA shall be tested by qualified staff of CONTRACTOR in accordance with that accountability program. XXX shall provide test administration training to CONTRACTOR’S qualified staff. CONTRACTOR shall attend LEA test training and comply with completion of all coding requirements as required by XXX.

  • Construction Management Plan Contractor shall prepare and furnish to the Owner a thorough and complete plan for the management of the Project from issuance of the Proceed Order through the issuance of the Design Professional's Certificate of Material Completion. Such plan shall include, without limitation, an estimate of the manpower requirements for each trade and the anticipated availability of such manpower, a schedule prepared using the critical path method that will amplify and support the schedule required in Article 2.1.5 below, and the Submittal Schedule as required in Article 2.2.3. The Contractor shall include in his plan the names and resumés of the Project Superintendent, Project Manager and the person in charge of Safety.
