Condition of Certain Assets. To the knowledge of the Corporation, the Tangible Personal Property is in good condition, repair and (where applicable) proper working order, reasonable wear and tear excepted having regard to its use and age, subject to normal maintenance and repair.
Condition of Certain Assets. To the best knowledge of Seller, all machinery and equipment included in the Assets, including without limitation, all heating, air conditioning, electrical and life safety equipment/systems installed on the Premises, are in good working order, ordinary wear and tear excepted, and the roofs of each Facility are in good repair, ordinary wear and tear excepted.

Condition of Certain Assets. Seller has the lawful right to use, by lease or otherwise, all Assets used by Seller in connection with the business of the Dealership, and the Assets being conveyed and transferred to Buyer under this Agreement constitute all of the Assets used by Seller in connection with its business except for the Excluded Assets. All equipment, furniture and fixtures and other material tangible personal property are in good operating condition and repair, normal wear and tear excepted, and all inventory is usable in the ordinary course of business, free of all material defects.
