Compliance with Bulk Sales Law. Buyers and the Seller Parties hereby waive compliance with the bulk sales law in any applicable jurisdiction for the transactions this Agreement provides for.

Compliance with Bulk Sales Law. Seller agrees, and Xxxxxx will cause Seller, to make any such governmental filing as may be required by the provisions of Article 6 of the Uniform Commercial Code as in effect in the State of Hawaii (the "UCC") within the time periods specified by such provisions. The parties agree to waive any notice to creditors and waiting period specified by the UCC.
