Compensation to Vantage as Manager. As compensation for services rendered in the discharge of its duties as the Manager of the Company, Vantage will be paid a one-time management set-up fee of $25,000 and monthly payments thereafter of a management fee equal to $1,000; however, such compensation may be paid to Vantage directly by Borrower. Furthermore, the Company (or Borrower on its behalf) will reimburse Vantage for any expenses and costs incurred by it on behalf of the Company while discharging its duties as the Manager thereof. Notwithstanding the foregoing to the contrary, Vantage may agree, but shall not be obligated, to defer the payment of its fees until such time as the Company has sufficient cash available to pay such fees (whether payment is effectuated through distributions from Borrower, through offerings of membership interests in the Company, or conversion of accounts payable into an equity membership interest in the Company).
