Compensation for Employee Services. APS shall be solely responsible for paying the costs of providing the Employee Services (the "Employee Costs"), including, without limitation, (i) the salaries or wages, as applicable, of the Leased Employees, including, without limitation, vacation pay, sick pay, payroll taxes and severance costs, (ii) the cost of employee benefits programs for the Leased Employees, to the extent such benefits are customarily provided to APS employees, including, without limitation, health insurance, life insurance, disability insurance, worker's compensation insurance, malpractice insurance, other customary insurance, retirement programs and profit sharing plans, and (iii) a reasonable allocation for the overhead costs of APS in employing the Leased Employees. Joint Venture shall reimburse to APS the amount of all Employee Costs during the term of this Agreement. As soon as practicable after the end of each calendar month, APS shall deliver to Joint Venture a statement setting forth the Employee Costs that are attributable to such month. Joint Venture shall pay the Employee Costs reflected on such statement on or before the fifth (5th) day after receipt of such statement.

  • Compensation for Consulting Services For each quarter (i.e., three-month period) that Executive provides consulting services to MediciNova pursuant to the option of MediciNova contained in Section 9 above, MediciNova shall pay Executive a sum equal to fifteen percent (15%) of Executive’s annual Base Compensation which shall be applicable at the time of Executive’s termination of employment with MediciNova (prorated for any period of less than a quarter). The parties expressly agree that when Executive is performing consulting services for MediciNova, Executive is acting as an independent contractor. Therefore, Executive shall be solely liable for Social Security and income taxes that result from Executive’s compensation as a consultant. In addition, Executive shall not be entitled to any other benefits including, without limitation, such group medical, life and disability insurance and other benefits as may be provided to employees and/or executives of MediciNova.

  • SALARY DETERMINATION FOR EMPLOYEES IN ADULT EDUCATION PCA Article B.3 does not apply in School District No. 34 (Abbotsford).

  • Compensation of Executive (a) The Corporation shall pay the Executive as compensation for his services hereunder, in equal semi-monthly or bi-weekly installments during the Term, the sum of $350,000 per annum (as in effect from time to time, the “Base Salary”), less such deductions as shall be required to be withheld by applicable law and regulations.   • Transportation for Employees Transportation will be provided to employees who are required to work other than their normal working hours, and who must travel to or from their home during the hours between 11:30 p.m. and 6:00 a.m. and when convenient public transportation or other transportation facilities are not available. An employee shall be reimbursed for the cost of commercial transportation within their headquarters area, upon presentation of receipts.

  • Services and Compensation Consultant agrees to perform for the Company the services described in Exhibit A (the “Services”), and the Company agrees to pay Consultant the compensation described in Exhibit A for Consultant’s performance of the Services.
