Commissions – Investor Choice Annuity. From and after the Closing, while the Buyer Insurers are offering the Investor Choice Annuity, the commission structure paid by the Companies to the Seller Distributors for the Investor Choice Annuity shall be as set forth on the Deliverables Schedule, which conforms in all material respects to the commission structure provided to non-proprietary carriers as in effect on the date hereof and which is no greater than the commission rates used in preparation of the Actuarial Report; provided, that, solely for the purpose of maintaining parity with the commissions generally to be charged in respect of non-proprietary variable annuity products distributed through the Mxxxxxx Lxxxx Global Private Client Network, the commissions set forth on the Deliverables Schedule shall be subject to unilateral change by the Seller for new or prospective sales following the effective date of any such commission change; provided, further, that, while any such changes shall remain at the sole discretion of the Seller, either party at any time may propose changes to the commission schedule set forth in such schedule, and such proposal shall be considered by the Product and Sales Committee as provided in Article III, and the other party shall consider such proposal in good faith; and provided, further, that the Buyer Insurers may adjust rates of commissions paid to Seller Distributors on additional premiums and considerations on the Investor Choice Annuity resulting from decreases in payments to Buyer Insurers under other agreements between the Buyer Insurers and Eligible Fund investment advisers who are Seller Affiliates after the date of this Agreement.

  • Deferred Underwriting Commission The Underwriters agree that 3.5% of the gross proceeds from the sale of the Firm Units ($3,500,000) and the Option Units (up to $525,000), if any (collectively, the “Deferred Underwriting Commission”), will be deposited and held in the Trust Account and payable directly from the Trust Account, without accrued interest, to the Underwriters for their own accounts upon consummation of the Company’s initial Business Combination. In the event that the Company is unable to consummate a Business Combination and CST, as the trustee of the Trust Account (in this context, the “Trustee”), commences liquidation of the Trust Account as provided in the Trust Agreement, the Underwriters agree that: (i) they shall forfeit any rights or claims to the Deferred Underwriting Commission; and (ii) the Deferred Underwriting Commission, together with all other amounts on deposit in the Trust Account, shall be distributed on a pro-rata basis among the Public Stockholders.

  • Tax Sheltered Annuities The SPS shall continue to comply with the law(s) regarding Tax Sheltered Annuities.

  • Cashless Rollovers Notwithstanding anything to the contrary contained in this Agreement or in any other Loan Document, to the extent that any Lender extends the maturity date of, or replaces, renews or refinances, any of its then-existing Loans with Incremental Loans, Extended Term Loans, or Loans in connection with any Specified Refinancing Debt or Loan Modification or loans incurred under a new credit facility, in each case, to the extent such extension, replacement, renewal or refinancing is effected by means of a “cashless roll” by such Lender, such extension, replacement, renewal or refinancing shall be deemed to comply with any requirement hereunder or any other Loan Document that such payment be made “in Dollars”, “in immediately available funds”, “in cash” or any other similar requirement.

The Trust and MFS represent and warrant that each Portfolio of the Trust will meet the diversification requirements of Section 817 (h) (1) of the Code and Treas. Reg. 1.817-5, relating to the diversification requirements for variable annuity, endowment, or life insurance contracts, as they may be amended from time to time (and any revenue rulings, revenue procedures, notices, and other published announcements of the Internal Revenue Service interpreting these sections), as if those requirements applied directly to each such Portfolio.
