Class B Common Stock Consent Withdrawal. In the case of a Consent Withdrawal, after approval of such Consent Withdrawal, the Trustee shall, upon the payment of the Class B Withdrawing Beneficiary’s share of the expenses and obligations of the Trustee remaining unpaid with (which reimbursement shall be subject to the provisions of Section IV.3), promptly instruct SRAM to register a transfer of ownership of such Shares of Class B Common Stock subject to such Consent Withdrawal from the Trustee to the Class B Withdrawing Beneficiary and to deliver to the Class B Withdrawing Beneficiary certificates or other evidence of ownership as may be provided by SRAM for such Shares of Class B Common Stock, as is consistent with the Certificate of Incorporation (including any applicable conversion provisions), and the Class B Withdrawing Beneficiary shall be entitled to his, her or its pro rata portion of all cash, property or securities held by the Trustee hereunder at such date with respect to such Shares of Class B Common Stock. The Class B Withdrawing Beneficiary, by the withdrawal of his, her or its Class B Common Stock and receipt of his, her or its pro rata portion of any cash, property or securities distributed by the Trustee, shall thereby be deemed to have released and discharged the Trustee and his or her agents and attorneys from all liability and accountability under this Agreement of every kind, character, and description whatsoever with respect to such Shares of Class B Common Stock.
