Certificate of Change Sample Clauses

Certificate of Change. Whenever an event occurs requiring any adjustment to be made pursuant to Section 2.1 or 2.2, the Company shall promptly file with its Secretary at its principal office and with its stock transfer agent, if any, a certificate of its President, Chief Executive Officer, Chief Financial Officer or Secretary specifying such adjustment, setting forth in reasonable detail the acts requiring such adjustment, and stating such other facts as shall be necessary to show the manner and figures used to compute such adjustment. Such certificate shall be made available at all reasonable times for inspection by the Registered Owner. Promptly after each such adjustment, the Company shall provide a copy of such certificate by first class mail, postage prepaid, to the Registered Owner.
