CERTAIN RIGHTS OF DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS. The directors shall have no responsibility to devote their full time to the affairs of the Corporation. Any director or officer, employee or agent of the Corporation, in his personal capacity or in a capacity as an affiliate, employee, or agent of any other person, or otherwise, may have business interests and engage in business activities similar to or in addition to or in competition with those of or relating to the Corporation.

CERTAIN RIGHTS OF DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS. Any Director or officer, employee or agent of the Company may engage in or possess an interest in other profit-seeking or other business ventures of any nature or description, independently or with others, whether or not such ventures are competitive with the Company and the doctrine of corporate opportunity, or any analogous doctrine, shall not apply to such Persons. If any Director, officer, employee or agent of the Company acquires knowledge of a potential transaction, agreement, arrangement or other matter that may be an opportunity for the Company, he, she or it shall not have any duty to communicate or offer such opportunity to the Company, and any such Person shall not be liable to the Company or to the Members for breach of duty (including fiduciary duty) hereunder, at law, in equity or otherwise by reason of the fact that he, she or it pursues or acquires for, or directs such opportunity to another Person or does not communicate such opportunity or information to the Company. Neither the Company nor any Member shall have any rights or obligations by virtue of this Agreement in or to such independent ventures or the income or profits or losses derived therefrom, and the pursuit of such ventures, even if competitive with the activities of the Company, shall not be deemed wrongful or improper or a breach of any duty existing hereunder, at law, in equity or otherwise.
