Buyout Option/Early Termination. On and after the sixth (6th) anniversary of the In-Service Date, so long as Customer is not in material breach of this Agreement, Customer may purchase the System from Supplier on such anniversary and each annual anniversary thereafter for a purchase price equal to the greater of (i) the amount set forth at such time in the Buyout Schedule and (ii) the Fair Market Value of the System plus all applicable taxes for which the Supplier maybe liable resulting from the exercise by the Customer of its buyout right under this Section
