Business / Commercial Accounts. If the account owner is a corporation, unincorporated association, limited liability company, limited liability partnership, fiduciary, partnership, sole proprietorship or other entity holding an account in any capacity other than a personal capacity, each person signing the Signature Card or completing other account opening requirements represents and agrees that they: • Are fully authorized to execute all documents or otherwise complete our requirements in their stated capacity; • That all resolutions and / or other documentation delivered to us in connection with the account are true, accurate, complete, and will be kept up to date and may be conclusively relied upon by us; • Withdrawals are paid on the signature of any one authorized person, officer, partner, etc., as specified in the business’ resolution with the Bank; • Authorized Agents / Directors / Partners / Members, etc., as provide in the then existing resolution, are duly authorized to add or remove any authorized signer by written notice to Bank; • Have furnished all documents or other information necessary to demonstrate that authority; • Will furnish other documents and complete other requirements as we may request from time to time; • Any change in authorized signers will not be effective until five

You may also give another person authority over your account by your conduct or failure to act and, although we may recognize such authorization, we may refuse to do so without liability to you.
